Barbara Keiser is an associate in Walder Wyss’ Corporate & Commercial team. Barbara Keiser advises corporate clients with respect to their corporate governance and on all matters of contract, corporate and commercial law related to their daily operations. She also publishes in her areas of expertise on a regular basis.

Barbara Keiser studied law at the University of Zurich (lic. iur. 2007) and at the University of Lausanne. In 2014, she complemented her education with a Master’s degree from New York University School of Law (LL.M. in Corporate Law). Before joining Walder Wyss, she worked as a junior lawyer in a major business law firm in Zurich.

Barbara Keiser’s professional languages are German and English. She also speaks French. She is registered with the Zurich Bar Registry and admitted to practice in all Switzerland.

Relocation of Oriflame

Oriflame Cosmetics SA, Luxembourg (OCSA), envisages to relocate the Oriflame group from Luxembourg to Switzerland. The proposed change of domicile is done through a share-for-share offer with the OCSA shareholders invited to exchange their current holdings of shares and Swedish depository receipts in OCSA (OCSA SDRs) for shares in a newly established Swiss company named Oriflame Holding AG (OHAG). The acceptance period of the exchange offer commenced on 26 May 2015 and expires on 15 June 2015. Provided that the exchange offer is successfully completed, OHAG will become the new parent company of OCSA and, thus, the Oriflame group. In connection with the completion of the exchange offer, OCSA SDRs will be delisted and the OHAG shares will be listed on the main market of Nasdaq Stockholm.

P&I Personal & Informatik Ltd. acquires business division HR from Soreco Ltd.

P&I Personal & Informatik Ltd. acquires the business division HR from Soreco Ltd, Schwerzenbach, Switzerland with retroactive effect from January 1, 2015. All employees at the current business locations in Bolligen and Schwerzenback are taken over as well as the HR products and the ongoing customer contracts. With the acquisition of Soreco HR AG the P&I Group consolidates its market position in Switzerland as an international HR technology company, whose products and service offering is established in the premium sector for human resource management systems.

Tamedia acquires Ricardo-Group

Tamedia Ltd. acquires the Ricardo-Group, which runs the auction platform ricardo.ch, vehicle platform autoricardo.ch, the classified advertisement homepage olx.ch and the online shopping center ricardoshops.ch, for CHF 240 million. The Ricardo-Group employs about 190 people in Switzerland and a development team with 30 members in France. Ricardo.ch is Switzerland's biggest online marketplace, realized total revenues of about CHF 40 million in 2014 and has 2.3 million members. The transaction is subject to Swiss Competition Commission approval.

Migros acquires Lüchinger+Schmid-Group

Migros, Switzerland's largest retail company and largest supermarket chain, acquires, through its subsidiary Saviva Swiss Food Services, Lüchinger+Schmid-Group, Switzerland’s leading egg manufacturer and processing company and thereby expands its egg business. Lüchinger+Schmid-Group employs about 270 people in eight sale and two production locations in Flawil SG and Kloten ZH and in 2012 realized total revenues of about CHF 200 million. The transaction is subject to Swiss Competition Commission approval.

First Cross-Border Merger Portugal – Switzerland

DOCKLAND – COMÉRCIO INTERNACIONAL E SERVIÇOS S.A., Funchal, Madeira, Portugal was merged into Swiss based Finstone AG. This merger is the first cross-border merger involving Portugal and Switzerland.

Walder Wyss acted as coordinator and Swiss legal advisor to Finstone AG. The team was led by M&A-partner Urs P. Gnos and Tax-partner Martin Busenhart and included the associates Barbara A. Keiser and Gian A. Brändli (both M&A) as well as Annina L. Taddei and Fabienne Limacher (both Tax).
