Acquisition and Refinancing of Boost Holding Ltd.

On 31 July 2015, Cleanwood First Ltd. acquired from the Swiss private equity company Invision its participation in Boost Holding Ltd. Cleanwood First Ltd. is an investment vehicle of the entrepreneur Michael Reinwald. The Boost Group is a leading provider of point-of-sale marketing services and loyalty programs with 260 employees, activities in sixteen countries and yearly revenues of more than EUR 100 m.

Walder Wyss acted as legal advisor to Cleanwood First Ltd. on the M&A transaction and to Boost Holding AG on its refinancing. The team was led by Reto Vonzun (M&A, Partner) and Luc Defferrard (Banking Finance, Partner) and further included Robert von Rosen (M&A, Managing Associate), Martina Nüesch (Banking Finance, Associate), Dan Schmelzer (Banking Finance, Associate) and Manuel Mohler (Notarial Services, Associate). In the course of this transaction, Reto Vonzun was also elected to the Board of Directors of Cleanwood First Ltd. and of Boost Holding Ltd.


Computershare aquires SIX SAG Ltd

On 9 July 2015, the shareholder in SIX SAG Ltd (SIX Securities Services Ltd) and Computershare Limited entered into a share purchase agreement under which Computershare Limited purchased all shares (100%) in SIX SAG Ltd. The consummation of the share purchase agreement is planned to occur in December 2015.

SIX SAG Ltd is the Swiss market leader in the field of share register and special share register management and the staging of general meetings for other companies. SIX SAG Ltd is part of SIX Securities Services. Computershare is the global market leader in the area of bank-independent issuer services.

Walder Wyss has advised Computershare Limited in this transaction. The team has been led by Alexander Niktine (Capital Markets, Corporate/M&A, Partner) and Alexandre Both (Capital Markets, Corporate/M&A, Managing Associate) and further included Lukas Wyss (Banking Finance, Partner), Sarah Schulthess (Capital Markets, Corporate/M&A, Associate), David M. Financing of acquisition of Vat Holding AG

Credit Suisse Securities (USA) LLC and UBS Securities LLC as Joint Lead Arrangers and Joint Bookrunners and UBS AG, Stamford Branch as  Administrative Agent, Collateral Agent and L/C Issuer and certain other Lenders entered into a transaction for the financing of the acquisition of Vat Holding AG by Capvis and Partners Group. Capvis is a leading Swiss mid-market private equity fund and Partners Group a global private markets manager. Vat Holding AG is a global market leader in the development, manufacture and sale of vacuum valves for the semiconductor and vacuum coating industries as well as for the research sector, with annual sales of more than 300 million Swiss Francs and a staff of over 1,000 employees (more than 600 in Switzerland). Vat Holding AG is headquartered in Switzerland. The transaction closed on 11 February 2014.

Walder Wyss advised the Joint Lead Arrangers and Joint Bookrunners and the Administrative Agent, Collateral Agent and L/C Issuer and the other Lenders in relation to all aspects of Swiss law in connection with that acquisition financing.

Covidien acquires Oridion Systems Ltd./Delisting of Oridion Systems Ltd.

We advised Oridion Systems Ltd. as Swiss legal counsel in the course of its acquisition by Covidien for a purchase price of USD 310 million and the subsequent delisting from SIX Swiss Exchange.

Walder Wyss’ team was headed by partner Francis Nordmann who was assisted by Lucas Hänni, Dan Schmelzer and David Borer. The merger was effected on 26 June 2012.


Swiss Credit Card Securitisation Listed on the SIX Swiss Exchange

Walder Wyss assisted Credit Suisse and Swisscard (the "Originators") as Swiss transaction counsel on the first public Swiss credit card securitisation transaction listed on the SIX Swiss Exchange. The collateral backing the notes comprises Swiss Visa, MasterCard, and American Express credit card receivables originated by Credit Suisse and Swisscard – a joint venture between Credit Suisse and American Express.

On the closing date, Swiss Credit Card Issuance No. 1 AG (the "Issuer") will use the proceeds from the issuance of the CHF370,000,000 asset-backed notes due 2015 to acquire Issuer Certificate No. 1 (ICN1). ICN1 is a secured limited-recourse note, entitling the Issuer to a share of the proceeds from receivables held by Swiss Payments Assets AG (the "Asset SPV") along with any investment proceeds on the amounts held in its accounts. The Asset SPV will use the ICN1 proceeds to acquire receivables from the Originators. The structure allows for issuance of further series. The Asset SPV can acquire further accounts during the revolving period from any originator designated as a selling originator. In consideration for the right to the receivables arising under the designated accounts, the Asset SPV will pay to the Originator a purchase price equal to the principal purchase price and the initial and deferred finance charge purchase price.

This landmark transaction is the first public Swiss credit card securitisation transaction listed on the SIX Swiss Exchange and is believed to be a breakthrough for Swiss credit card securitisation transactions. Walder Wyss advised the Originators on the overall structuring and all Swiss legal, tax and VAT aspects of the transaction. The Walder Wyss team included Johannes A.
