Maurus Winzap is a partner in the Tax Team. Maurus’ practice covers all areas of domestic and international corporate taxation. He acts for a broad range of corporate and financial clients, and has developed significant expertise in planning and advising on M&A and private equity transactions, structured financings, corporate restructurings, relocations, capital market transactions, collective investment schemes and management incentive programs.

Maurus is a member of the executive board of the Swiss International Fiscal Association (IFA) Branch. He regularly lectures and publishes in his areas of practice.

Born in 1972, Maurus received his degree in law from the University of Zurich in 1997 and his Master of Laws from the University of Virginia in 2002. He was admitted to the Zurich Bar in 1999 and became a Swiss Certified Tax Expert in 2004.

Maurus speaks German and English.

Auris Medical launches ATM Offering

On 1 June 2016, Auris Medical Holding AG launched a Controlled Equity Offering by entering into a Sales Agreement with Cantor Fitzgerald & Co. Pursuant to the terms of the agreement, Auris Medical may offer and sell its common shares from time to time through Cantor Fitzgerald, as the company’s sales agent. Under the agreement, Cantor Fitzgerald may sell shares by any method deemed to be an “at the market (ATM) offering”. Sales of the shares are to be made under the company’s shelf registration statement for an aggregate offering price of up to USD 35 million.

Auris Medical is a Swiss biopharmaceutical company dedicated to developing therapeutics that address important unmet medical needs in otolaryngology. The shares of Auris Medical trade on the NASDAQ Global Market.

Walder Wyss advises Auris Medical on Swiss law aspects of the transaction. AMAG Leasing: Second Auto Lease CHF 515m ABS Transaction (Dual Tranche 2016-/2016-2)

On 4 May 2016, AMAG Leasing AG closed its second auto lease securitization transaction. The transaction was structured as a dual trance transaction involving the issuance of notes with various terms, issued by two separate SPVs. Swiss Car ABS 2016-1 AG (the 2016-1 Issuer) issued CHF 200,000,000 0.15 percent Asset-Backed Class A Notes due 2026 (2y soft bullet) and CHF 15,000,000 1.125 percent Asset-Backed Class B Notes due 2026 (2y soft bullet) and Swiss Car ABS 2016-2 AG (the 2016-2 Issuer) issued CHF 300,000,000 0.30 percent Asset-Backed Class A Notes due 2026 (4y soft bullet). The Notes issued are listed on the SIX Swiss Exchange and are each backed by a portfolio of auto lease assets originated by AMAG Leasing AG and transferred to the Issuers. The Class Notes are rated "AAAsf" by Fitch and "Aaa(sf)" by Moody’s and the Class B Notes are rated «AA+sf» by Fitch and «A1(sf)» by Moody’s. UBS Investment Bank acted as Lead Manager, Sole Bookrunner and Co-Arranger, Credit Suisse and Zürcher Kantonalbank acted as Senior Co-Manager and StormHarbour acted as Co-Arrangers and Co-Manager (Class B Notes) on this transaction.

Swiss Life - CHF 600 mio. Hybrid Bonds

Swiss Life Ltd has successfully placed a CHF 450 million undated subordinated bond, first callable in September 2021 (coupon until first call date: 3.75%) and a CHF 150 million dated subordinated bond with final maturity in 2046, first callable in September 2026 (coupon until first call date: 4.375%).

Walder Wyss acts as legal counsel to Swiss Life Ltd. on this transaction. Succession Plan DT Swiss

Two members of the board of directors/shareholders of DT Swiss Group AG have acquired all outstanding shares in the course of a succession planning structured as a leveraged buyout (LBO). DT Swiss is a globally renowned manufacturer of bicycle components with branches in the USA, the EU and Asia. Around 500 employees develop, produce and market DT Swiss’ first-class products around the world.

Walder Wyss has comprehensively advised the board members/acquiring shareholders as to structuring as well as regarding all tax and legal aspects of this transaction. Chequers Capital to acquire Spandex from Gilde Buy Out Partners

Chequers Capital has agreed to acquire the Spandex-group from Gilde Buy Out Partners AG and other shareholders. The Spandex-group is headquartered in Switzerland and is a leading distributor of graphic media and equipment to the signage and visual communication industry.

Chequers Capital is being advised by Walder Wyss with respect to Swiss law.
