Maurus Winzap is a partner in the Tax Team. He focuses on domestic and international tax issues, particularly in corporate reorganizations, restructurings, structured finance, acquisitions and divestments. Other areas of expertise include tax planning for collective capital investments and cross-border relocations. He lectures and publishes regularly in the field of taxation. Maurus Winzap is a lecturer in international tax at the Swiss Institute of Taxation (SIST) and a member of the board of examiners for the Swiss certified tax expert exams. He is the chair of the organizing committee of the 69th congress of the International Fiscal Association (IFA) to take place in Switzerland in the year 2015. In addition, Maurus Winzap is a member of the executive board of the Swiss Tax Law Association (Swiss Branch of IFA).

Born in 1972, Maurus Winzap received his degree in law from the University of Zurich in 1997 and his master of laws from the University of Virginia in 2002. He was admitted as a Swiss certified tax expert in 2004.

Maurus Winzap speaks German and English. He is registered with the Zurich Bar Registry and admitted to practice in all Switzerland.

Succession Plan DT Swiss

Two members of the board of directors/shareholders of DT Swiss Group AG have acquired all outstanding shares in the course of a succession planning structured as a leveraged buyout (LBO). DT Swiss is a globally renowned manufacturer of bicycle components with branches in the USA, the EU and Asia. Around 500 employees develop, produce and market DT Swiss’ first-class products around the world.

Walder Wyss has comprehensively advised the board members/acquiring shareholders as to structuring as well as regarding all tax and legal aspects of this transaction. Chequers Capital to acquire Spandex from Gilde Buy Out Partners

Chequers Capital has agreed to acquire the Spandex-group from Gilde Buy Out Partners AG and other shareholders. The Spandex-group is headquartered in Switzerland and is a leading distributor of graphic media and equipment to the signage and visual communication industry.

Chequers Capital is being advised by Walder Wyss with respect to Swiss law. Castleton aquires Morgan Stanley's Global Oil Merchanting business

On 1 November 2015, Castleton Commodities International LLC, a global commodities merchant, completed its acquisition of Morgan Stanley’s Global Oil Merchanting business, one of the world’s leading physical oil and products franchises. Morgan Stanley’s Global Oil Merchanting business is a leading global platform and is active in the light ends, distillates, crude and wet freight markets.

Walder Wyss advised Castleton Commodities International LLC in connection with the USD 3.5 billion committed senior secured working capital credit facility related to the financing of the acquisition. The Walder Wyss team was led by Luc Defferrard (Partner, Banking & Finance) and Alexandre Both (Managing Associate, Banking & Finance) and included Maurus Winzap (Partner, Tax) and Tervel Stoyanov (Associate, Banking & Finance).


AMAG Leasing: Inaugural Auto Lease ABS 2015-1

On 3 December 2015, AMAG Leasing AG closed its inaugural auto lease securitization transaction involving the issue by Swiss Car ABS 2015-1 AG (the Issuer) of CHF 310,400,000 0.20 percent Asset-Backed Class A Notes due 2025. The Notes issued are listed on the SIX Swiss Exchange and are backed by a portfolio of auto lease assets originated by AMAG Leasing AG and transferred to the Issuer. The Notes are rated "AAAsf" by Fitch and "Aaa(sf)" by Moody’s. UBS Investment Bank acted as Lead Manager, Sole Bookrunner and Co-Arranger, Zürcher Kantonalbank acted as Senior Co-Manager and StormHarbour acted as Co-Arrangers on this transaction.

Walder Wyss advised AMAG Leasing AG on the overall structuring and all Swiss legal, tax and VAT aspects of the transaction. The Walder Wyss team included Lukas Wyss (Partner, Finance), Johannes A. Glarner Kantonalbank issues CHF 100m Additional Tier 1 Bond

Die Glarner Kantonalbank (GLKB) hat erfolgreich eine Additional Tier 1 nachrangige ewige Anleihe im Umfang von 100 Millionen Franken platziert (Ausgabedatum 27. November 2015). Der Coupon für die ersten fünf Jahre wurde auf 2.625% festgelegt. Die Zürcher und die Glarner Kantonalbank handelten als Joint Lead Manager. Die Anleihe qualifiziert als Additional Tier 1 Capital unter der Eigenmittelverordnung.

Walder Wyss hat die GLKB als Rechtsberaterin bei der Emission und Platzierung der Anleihe beraten.
