Maurus Winzap is a partner in the Tax Team. He focuses on domestic and international tax issues, particularly in corporate reorganizations, restructurings, structured finance, acquisitions and divestments. Other areas of expertise include tax planning for collective capital investments and cross-border relocations. He lectures and publishes regularly in the field of taxation. Maurus Winzap is a lecturer in international tax at the Swiss Institute of Taxation (SIST) and a member of the board of examiners for the Swiss certified tax expert exams. He is the chair of the organizing committee of the 69th congress of the International Fiscal Association (IFA) to take place in Switzerland in the year 2015. In addition, Maurus Winzap is a member of the executive board of the Swiss Tax Law Association (Swiss Branch of IFA).

Born in 1972, Maurus Winzap received his degree in law from the University of Zurich in 1997 and his master of laws from the University of Virginia in 2002. He was admitted as a Swiss certified tax expert in 2004.

Maurus Winzap speaks German and English. He is registered with the Zurich Bar Registry and admitted to practice in all Switzerland.

EUR 750 mio. Hybrid Bond – Swiss Life

Swiss Life Ltd. has successfully issued a EUR 750 million undated subordinated bond, first callable in June 2025. The coupon has been fixed at 4.375% for the first ten years. The proceeds will be used for the refinancing of outstanding subordinated debt and for general corporate purposes.


Walder Wyss acts as legal counsel to Swiss Life Ltd. on this transaction. Avanade to aquire KCS.net

Avanade, a global business technology solutions, cloud and managed services provider, today announced that it has signed an agreement to acquire KCS.net and its subsidiaries (including Infoman AG), headquartered in St. Gallen, Switzerland. With approximately 300 employees, KCS.net is one of the largest Microsoft Dynamics AX/ERP partners in Germany, Switzerland and Austria, and a leading Microsoft Dynamics CRM partner. The acquisition will make Avanade a Dynamics leader in the region. The acquisition is subject to regulatory approvals.

Walder Wyss acted as legal advisor to The Carlyle Group and the shareholders of KCS.net on this transaction. The Walder Wyss team is being led by Alexander Gutmans (Partner, Corporate/M&A) together with Robert von Rosen (Managing Associate, Corporate/M&A) and further includes Maurus Winzap (Partner, Tax).


P&I Personal & Informatik Ltd. acquires business division HR from Soreco Ltd.

P&I Personal & Informatik Ltd. acquires the business division HR from Soreco Ltd, Schwerzenbach, Switzerland with retroactive effect from January 1, 2015. All employees at the current business locations in Bolligen and Schwerzenback are taken over as well as the HR products and the ongoing customer contracts. With the acquisition of Soreco HR AG the P&I Group consolidates its market position in Switzerland as an international HR technology company, whose products and service offering is established in the premium sector for human resource management systems.

Walder Wyss advises the acquiror in connection with this transaction. The Walder Wyss team is being led by Alexander Gutmans (Partner, Corporate/M&A) together with Barbara A. IXE Group acquires BANCA ARNER

On 28 November 2014, the shareholders in BANCA ARNER SA, Lugano (Arner) and IXE Capital AG, Zurich (IXE) entered into a share purchase agreement pursuant to which IXE purchased all remaining registered shares (equal to 90.2%) in Arner. IXE already holds 9.8% in Arner. The consummation of the share purchase agreement is planned to occur in 2015 upon receipt of the necessary regulatory approvals.

Walder Wyss AG has advised the Sellers and Arner in this transaction. The team has been led by Alexander Nikitine (Managing Associate, Capital Markets, Corporate/M&A) and Markus Pfenninger (Partner, Banking Finance) and further included Davide Jermini (Partner, Banking Finance), Maurus Winzap (Partner, Tax) and Sarah Schulthess (Associate, Capital Markets, Corporate/M&A).


Refinancing of Constellium group

In May 2014, Constellium group, the global leader of aluminium products, entered into a series of transaction in the context of its over-all refinancing for an aggregate amount of more than EUR 700 million. The transaction included the issuance by Constellium N.V. of EUR 300 million 4.625% senior unsecured notes maturing in 2021 and of USD 400 million 5.75% senior unsecured notes maturing in 2024, both benefiting from guarantees granted by certain of its subsidiaries. Simultaneously, Constellium N.V. has been granted a EUR 120 million unsecured revolving credit facility.

Walder Wyss advised Constellium group in relation to all aspects of Swiss law in connection with that financing transaction.
