Reto Jacobs heads the Antitrust and Competition Team. He advises domestic and foreign companies with respect to all competition law issues, represents them before competition authorities and courts, and assists them in complex merger filings. Reto Jacobs advises also with respect to distribution systems and he supports various companies with respect to their antitrust compliance programs. He is lecturer at the University of St. Gall.

Born in 1964, Reto Jacobs was educated at the University of St. Gall (lic. iur. 1990, Dr. iur. 1997). He obtained an additional degree in European competition law from the University of Amsterdam (LL.M. 1993) and stayed as visiting scholar at the University of California at Berkeley.

Reto Jacobs speaks German, English and French. He is registered with the Zurich Bar Registry and admitted to practice in all Switzerland.

Tamedia acquires Ricardo-Group

Tamedia Ltd. acquires the Ricardo-Group, which runs the auction platform ricardo.ch, vehicle platform autoricardo.ch, the classified advertisement homepage olx.ch and the online shopping center ricardoshops.ch, for CHF 240 million. The Ricardo-Group employs about 190 people in Switzerland and a development team with 30 members in France. Ricardo.ch is Switzerland's biggest online marketplace, realized total revenues of about CHF 40 million in 2014 and has 2.3 million members. The transaction is subject to Swiss Competition Commission approval.

Migros acquires Lüchinger+Schmid-Group

Migros, Switzerland's largest retail company and largest supermarket chain, acquires, through its subsidiary Saviva Swiss Food Services, Lüchinger+Schmid-Group, Switzerland’s leading egg manufacturer and processing company and thereby expands its egg business. Lüchinger+Schmid-Group employs about 270 people in eight sale and two production locations in Flawil SG and Kloten ZH and in 2012 realized total revenues of about CHF 200 million. The transaction is subject to Swiss Competition Commission approval.

Youngone to acquire majority stake in Scott Sports

Korea’s outdoor apparel and gear company Youngone Corporation has acquired 3’751’250 shares in Scott Corporation SA, a Swiss company specialized in producing bicycles as well as ski and snowboard wears. With this transaction, Youngone’s stake rose to 50.01% at the cost of USD 100 Mio. Earlier in 2013, Youngone had already bought a 20.1% stake.

Walder Wyss has advised the (former) majority shareholder of Scott  in the transaction. PubliGroupe/Swisscom/Tamedia

The holding company of the Swiss media group Tamedia on 17 April 2014 published the pre-announcement of a public takeover offer for all shares in PubliGroupe S.A. for a price of CHF 150 each and on 27 May 2014 increased the offer to CHF 190 per share. Swisscom AG on 16 Mai 2014 pre-announced a competing takeover offer of CHF 200 per share and on 17 June 2014 increased the offer to CHF 214 per share. On 27 Mai 2014 Swisscom and Tamedia reached an agreement on a common approach in the market of directory services (Search & Find). Tamedia has agreed with Swisscom not to increase its offer further and, if Swisscom’s takeover bid is successful, to tender the PubliGroupe shares held by Tamedia to Swisscom. Both Swisscom’s and Tamedia’s public takeover bids are being conducted in line with the applicable legal requirements. Following Swisscom‘s takeover offer for PubliGroupe, Swisscom and Tamedia will incorporate the companies local.ch and search.ch in a joint subsidiary. Swisscom will hold 69% of the joint subsidiary and consolidate the company, while Tamedia will hold the remaining 31%.

Mövenpick sells Swiss concession gastronomy to Coop

Mövenpick Holding AG has entered into an agreement with Coop Group regarding the sale of Marché Restaurants Schweiz AG.

The transaction is subject to Swiss Competition Commission approval. Marché Restaurants outside Switzerland and the Mövenpick Restaurants in Basel, Zurich, Lucerne and Chiasso are outside the scope of the transaction. Marché Restaurants Schweiz AG operates 25 restaurants at 20 rest stops, and another three at Zurich Airport. It is thus the market leader in Swiss concession gastronomy. Marché’s turnover in Switzerland exceeded CHF 120 mio. in 2012. Mövenpick is a Swiss group of companies with global presence. Its core competency lies in the hospitality business with a focus on gastronomy, hotels, wine and premium branded products.
