Urs P. Gnos heads the Corporate & Commercial Team. His practice focuses on international and domestic mergers & acquisitions, private equity, venture capital and capital market transactions, commercial and corporate law as well as public tender offers and buy-outs. Urs P. Gnos also advises companies with respect to corporate governance matters, stock exchange regulations, corporate reorganizations and restructurings. Urs P. Gnos is a member of the board of examiners for the Swiss certified tax expert exams. He lectures and publishes regularly on his areas of practice.

Born in 1967, Urs P. Gnos was educated at Zurich University (lic. iur. 1993, Dr. iur. 1997), at Columbia University/Leyden University and at University of the Pacific, McGeorge School of Law (LL.M. 2000). He has working experience as lawyer in Zurich law firms and as foreign associate in Chicago and New York law firms.

Relocation of Oriflame

Oriflame Cosmetics SA, Luxembourg (OCSA), envisages to relocate the Oriflame group from Luxembourg to Switzerland. The proposed change of domicile is done through a share-for-share offer with the OCSA shareholders invited to exchange their current holdings of shares and Swedish depository receipts in OCSA (OCSA SDRs) for shares in a newly established Swiss company named Oriflame Holding AG (OHAG). The acceptance period of the exchange offer commenced on 26 May 2015 and expires on 15 June 2015. Provided that the exchange offer is successfully completed, OHAG will become the new parent company of OCSA and, thus, the Oriflame group. In connection with the completion of the exchange offer, OCSA SDRs will be delisted and the OHAG shares will be listed on the main market of Nasdaq Stockholm.

Minerva IPO and Acquisition

Minerva Neurosciences Inc. completed its initial public offering of nearly 5.5 million shares, which began trading on 1 July 2014 on the NASDAQ Global Market under the ticker symbol «NERV». Prior to the IPO, Minerva acquired all shares in Mind-NRG S.A., a Swiss pre-clinical stage pharmaceutical company.

Vodafone acquires Cobra

Vodafone Global Enterprise Limited launched a voluntary tender offer in the amount of EUR 145 million (£115 million) for the entire ordinary issued share capital of Cobra Automotive Technologies S.p.A. (Cobra), listed on Italy's Telematic Share Market managed by Borsa Italiana S.p.A. Vodafone also entered into an agreement with minority shareholders of Cobra's Telematics Swiss subsidiary to acquire their 20% shareholding, conditional on completion of the offer. Cobra is a leading international provider of telematics and security solutions to the automotive and insurance industry, operating through two business units: Cobra Telematics Services, for the supply of telematics services and the development of telematics infrastructure; and Cobra Electronic Systems, focused on the design, development, manufacturing and distribution of electronic systems and components.

PubliGroupe/Swisscom/Tamedia

The holding company of the Swiss media group Tamedia on 17 April 2014 published the pre-announcement of a public takeover offer for all shares in PubliGroupe S.A. for a price of CHF 150 each and on 27 May 2014 increased the offer to CHF 190 per share. Swisscom AG on 16 Mai 2014 pre-announced a competing takeover offer of CHF 200 per share and on 17 June 2014 increased the offer to CHF 214 per share. On 27 Mai 2014 Swisscom and Tamedia reached an agreement on a common approach in the market of directory services (Search & Find). Tamedia has agreed with Swisscom not to increase its offer further and, if Swisscom’s takeover bid is successful, to tender the PubliGroupe shares held by Tamedia to Swisscom. Both Swisscom’s and Tamedia’s public takeover bids are being conducted in line with the applicable legal requirements. Following Swisscom‘s takeover offer for PubliGroupe, Swisscom and Tamedia will incorporate the companies local.ch and search.ch in a joint subsidiary. Swisscom will hold 69% of the joint subsidiary and consolidate the company, while Tamedia will hold the remaining 31%.
