Urs P. Gnos heads the Corporate & Commercial Team. His practice focuses on international and domestic mergers & acquisitions, private equity, venture capital and capital market transactions, commercial and corporate law as well as public tender offers and buy-outs. Urs P. Gnos also advises companies with respect to corporate governance matters, stock exchange regulations, corporate reorganizations and restructurings. Urs P. Gnos is a member of the board of examiners for the Swiss certified tax expert exams. He lectures and publishes regularly on his areas of practice.

Born in 1967, Urs P. Gnos was educated at Zurich University (lic. iur. 1993, Dr. iur. 1997), at Columbia University/Leyden University and at University of the Pacific, McGeorge School of Law (LL.M. 2000). He has working experience as lawyer in Zurich law firms and as foreign associate in Chicago and New York law firms.

Groupe SEB acquires WMF Group from KKR

Listed Groupe SEB acquires WMF Group. The closing of the transaction is subject to merger control clearance. Groupe SEB will pay EUR 1,020 million in cash for the WMF Group and assume net debt in an amount of EUR 565 million. In addition, SEB takes over EUR 125 million of early retirement and pension liabilities.

WMF is a manufacturer of home appliances and hotel equipment, amongst others, cookware, kitchenware, cutlery, drinking glasses and professional coffee machines, including brands such as WMF, Silit, Kaiser, Schaerer and Hepp. The company, headquartered in Geislingen an der Steige, Germany, is represented in over 40 locations worldwide and operates nearly 200 retail shops in Germany, Austria and Switzerland.

French Groupe SEB is a manufacturer of small appliances and kitchenware and is represented in over 120 countries worldwide. The group owns more than 1,000 active patents and launches over 200 new products a year. Brands include Tefal, Rowenta, Krups, Calor, Vogalu, Moulinex and Lagostina. The holding company SEB S.A. is listed in Paris and headquartered in Écully close to Lyon.

Walder Wyss acts as Swiss legal advisor to Groupe SEB. The team is being led by Urs P. Greatbatch/INTEGER

Following completion of the acquisition of the Lake Region Medical groupe by Greatbatch, Inc. and the renaming of Lake Region Medical into INTEGER, Greatbatch contributed in multiple capital increases own shares to Swiss-based P Medical Holding AG/INTEGER (Switzerland) GmbH, which were swapped against shares in the Irish-based Lake Region Medical Holdings Limited. The transaction was completed by a down-stream merger of P Medical Holding AG into its subsidiary INTEGER (Switzerland) GmbH.

Oriflame: Cross-border asset transfer completed

In a cross-border transfer Oriflame Cosmetics Global S.A., Luxembourg has transferred certain assets to Oriflame Cosmetics AG.

In the framework of a group-wide reorganization Oriflame Cosmetics Global S.A., Luxembourg, successfully transferred certain assets, notably intellectual property rights, in a complex cross-border transfer under the Swiss Merger law and equivalent Luxembourg legislation to Oriflame Cosmetics AG, Schaffhausen and thereby increased the share capital of Oriflame Cosmetics AG.

Walder Wyss served as Swiss counsel on this transaction. The Walder Wyss team was led by Urs P. IPH acquires Montalpina

French based IPH Group has acquired Montalpina AG. Montalpina is a leading technical distributor with three branches in Switzerland. The company offers a wide range of products with bearings, power transmission and sealings to the point of special tools and measuring equipment. With sales of more than CHF 1 billion in 2015, IPH is one of the largest technical distributors in Europe.

Walder Wyss AG has advised the IPH Group in this transaction. The team was led by Urs P. Oriflame: Relocation with Cross-Border Merger Completed

Oriflame Holding AG (OHAG) acquired through a public share-for-share exchange offer from the shareholders of Oriflame Cosmetics SA, Luxemburg (OCSA) approx. 97.7% of all shares and Swedish depository receipts in OCSA (OCSA SDRs). In connection with the successful completion of the exchange offer, OCSA SDRs were delisted and the OHAG shares became listed on the main market of Nasdaq Stockholm. OHAG (as acquiring entity) and OCSA (as acquired entity) completed the transaction through a cross-border merger.
