Boris Räber is an associate in our Corporate & Commercial Team. His preferred areas of practice include contract, corporate and commercial law and mergers & acquisitions. In doing so, he also advises startups and investors on financing rounds, participation plans and further legal issues surrounding their daily business.

Born in 1985, Boris Räber studied at the Universities of Zurich (Master of Law) and Salzburg and supplemented his education with a Master in International Business Law at King's College London (LL.M.). During his studies, he worked in the in-house legal department of a leading European outsourcing provider and as assistant at the University of Zurich's law school. In addition to that, he gained business experience as founder of his own company in the startups area. Before joining Walder Wyss, he gained work experience as a trainee in a leading law firm in Zurich.

Boris Räber's professional languages are German and English. He also speaks Italian and French. He is registered with the Zurich Bar Registry and is admitted to practice in all Switzerland.

Arthur J. Gallagher & Co. (NYSRE: AJG) acquires majority interest in Hesse & Partner AG

On June 11, 2018, Arthur J. Gallagher & Co. announced that it has acquired a majority interest in Swiss-based Hesse & Partner AG and Hesse Consulting GmbH. Terms of the transaction were not disclosed.

Arthur J. Gallagher & Co. is a global insurance brokerage and risk management services firm headquartered at in Rolling Meadows, Illinois. The firm was established in 1927 and is currently the third largest insurance broker in the world. Founded in 1997, Hesse is a commercial property/casualty broker and consultant offering coverages and risk advisor services primarily to industrial, manufacturing and construction clients with a particular specialism in the waste-to-energy industry.

Walder Wyss Ltd. has been acting as legal advisor to Arthur J. Gallagher & Co with regards to all Swiss contractual, corporate and regulatory aspects of the transaction. IPO Medartis at SIX Swiss Exchange

Medartis Holding Ltd successfully listed its shares on the SIX Swiss Exchange. The proceeds from the IPO will be used for the expansion of international sales, for the development of the product portfolio and for acquisitions and other investments. The offer price was CHF 48 per share, implying a market capitalization of CHF 563 million. Zürcher Kantonalbank and Bryan Garnier & Co. act as the Joint Global Co-ordinators and Joint Bookrunners, Kepler Cheuvreux as Co-Manager. Quarton International is IPO advisor to Medartis.

CryoLife acquires JOTEC

CryoLife, Inc. (NYSE: CRY), a leading medical device and tissue processing company focused on cardiac and vascular surgery, has entered into a definitive agreement to acquire JOTEC AG for an upfront payment of US$ 225 million, subject to certain adjustments.  JOTEC is a German-based, privately-held leading developer of technologically differentiated endovascular stent grafts, and cardiac and vascular surgical grafts, focused on aortic repair. The transaction is expected to close later this year, subject to customary closing conditions.

Migros subsidiary Saviva sells Cash+Carry Angehrn

Migros-Genossenschafts-Bund (MGB) sells, through its subsidiary Saviva AG, a company of the M-industry, its Cash+Carry Angehrn (CCA) division to the Vaud-based wholesale specialist Aligro. The CCA division is spun-off into an independent stock corporation (CCA Angehrn AG) for this purpose. It is planned that the new company CCA Angehrn AG will be managed as an independent subsidiary within Aligro and will continue to operate under the brand name CCA Angehrn.

Subject to the approval by the Swiss Federal Competition Commission, the transaction will be closed later this year.

Fedrus International acquires Umicore's building products business

Fedrus International completed on 29 September 2017 the acquisition of Umicore's Building Products business. The transaction represents an equity value of EUR 70 millions.

Fedrus International is a Belgian group active in the distribution of roofing and façade materials. It specialises in EPDM rubber and roof sealing systems for the European market.

Walder Wyss Ltd. has advised Fedrus International as Swiss legal counsel to the transaction. The team was led by Alexandre Both (Counsel, Corporate/M&A) and included Urs P.
