$77 million Series E Investment Round of SOPHiA GENETICS

SOPHiA GENETICS, a leading Swiss health tech company, closed a $77 million Series E investment round. The round was led by Generation Investment Management, a pioneer of sustainable investing, with offices in London and San Francisco. 

Walder Wyss acted as legal advisor to Generation in this transaction. The team was led by Urs P. Sharp Corporation to acquire Skytec UMC Ltd.

At the end of 2016, Japan-based Sharp Corporation, part of Taiwan's Foxconn Group, and Skytec Group Limited ("Skytec") entered into a strategic business alliance regarding the manufacture and sale of Sharp branded products and services in Europe and, for that purpose, Sharp acquired a majority stake of 56.7%  in the newly incorporated joint venture Skytec UMC Ltd.

At the end of 2018, Sharp and Skytec agreed that Sharp will now acquire in multiple steps the remaining 43.3% in the joint venture Skytec UMC Ltd.

Skytec UMC Ltd. is the holding company of the operating company UMC Poland Sp. z o.o. Through Skytec UMC Ltd., Sharp and Skytec are running together the UMC Group's business of designing, manufacturing and distributing Sharp branded TVs in Europe.

Walder Wyss acts as advisor to Skytec in all legal aspects of the transaction. The team is led by Stefan Knobloch (Partner, Corporate/M&A) and further includes Christian Lütolf (Associate, Corporate/M&A), Reto Jacobs (Partner, Competition) and Gion Giger (Managing Associate, Competition).


JAB Holding sells Bally

JAB Holding, together with the management of the Swiss luxury shoes and accessories company, has entered into a share purchase agreement for the sale of control in Bally International A.G. to Shandong Ruyi Investment Holding, a leader in textiles and apparel in China. The transaction, which sees a reinvestment on the part of the management alongside Shandong Ruyi, remains subject to closing conditions including customary regulatory approvals.

Walder Wyss AG acted as Swiss counsel to JAB Holding. The team has been co-led by Urs Schenker (Counsel, M&A/Corporate) and Urs P. Fedrus International acquires Umicore's building products business

Fedrus International completed on 29 September 2017 the acquisition of Umicore's Building Products business. The transaction represents an equity value of EUR 70 millions.

Fedrus International is a Belgian group active in the distribution of roofing and façade materials. It specialises in EPDM rubber and roof sealing systems for the European market.

Walder Wyss Ltd. has advised Fedrus International as Swiss legal counsel to the transaction. The team was led by Alexandre Both (Counsel, Corporate/M&A) and included Urs P. Gnos (Partner, Corporate/M&A), Boris Räber (Associate, Corporate/M&A), David Hill (Associate, Employment), Christian Lütolf (Associate, Corporate/Insurance) and Carmen Spichiger (Junior Associate, Corporate/M&A).


Komax acquires Laselec

Komax Holding AG acquired Laselec SA and strengthens the aerospace market segment. Komax has held a stake of about 20% in Laselec since 2015.

Laselec specializes in laser-assisted cable stripping and marking solutions as well as intelligent layout boards for wire harness production. These are used primarily in the aerospace industry. During the course of the collaboration with Komax over the last two years, the solutions have increasingly found their way into the automotive industry, Komax’s largest market segment.

Walder Wyss advised Komax Holding AG on the transaction. The team included Stefan Knobloch (Partner, Corporate/M&A), Fabienne Anner (Associate, Corporate/M&A), Christian Lütolf (Associate, Corporate/M&A) and Ewa Szczogiel (Trainee, Corporate/M&A).
