Dana acquires Oerlikon Drive Systems

Dana Incorporated (NYSE: DAN) has signed an agreement to acquire the Drive Systems Segment from OC Oerlikon (SIX: OERL). The transaction is expected to be closed in late 2018 or the first quarter 2019, subject to customary approvals and closing conditions. 

Based on nearly 100 years of experience, Oerlikon Drive Systems is a global leader in providing high-performance gears, market-leading shifting solutions, power transfer units, differentials and planetary drives, as well as innovative solutions for hybrids and e-drives. 

Walder Wyss advised Dana as Swiss legal advisor in this transaction. The team was led by Urs P. Sale of ASIC Robotics AG and Reinvestment

Paragon Partners GmbH with its registered seat in Munich, Germany, acquired from the three former shareholders, Evoco AG, STS Management AG and Renaissance PME fondation suisse de placement, all Shares in ASIC Robotics AG with its registered seat in Burgdorf, Switzerland. On 12 July 2018 the Share Purchase Agreement was successfully completed. The former shareholders STS Management AG and Renaissance PME fondation suisse de placement reinvested in ASIC Robotics AG as part of the transaction. ASIC Robotics AG develops and manufactures custom-built machines for production, assembly and testing processes for a wide variety of industries e.g. med-tech automotive watchmaking and electronics.

Walder Wyss acted as advisor for the three former shareholders, Evoco AG, STS Management AG and Renaissance PME fondation suisse de placement, in this transaction. Bregal Unternehmerkapital new growth partner of Embassy Jewel AG

Bregal Unternehmerkapital has acquired a majority stake in Embassy Jewel AG, a retail company specializing in luxury watches and jewelry. Headquartered in Lucerne, Embassy Jewel AG has grown steadily since its foundation in 1970 and is today, with its attractively located stores in Lucerne, the Swiss watch capital, and St. Moritz, among the five largest retail companies in this sector. With its new partner Bregal Unternehmerkapital, Embassy Jewel AG plans to make further investments to strengthen the branch network and the in-store infrastructure.
