Dirk Spacek is a managing associate in the Information Technology, Intellectual Property and Competition Team. His preferred areas of practice include legal aspects of information technology (IT), intellectual property (IP), data protection as well as general contract and commercial matters. He primarily advises companies of the sectors media-, art-, technology- and industry as well as financial institutions on the commercialization of new ideas and technologies. Among various matters, he handles new internet-business models (e-commerce), patent- and software-licensing, joint-ventures, outsourcing-projects, IT-procurement and -system-integrations as well as digital strategies for today's media and entertainment sector. In addition, Dirk has vast experience in the representation of contractual and technology-related IP-disputes before state courts.

Dirk Spacek graduated from the University of Zurich (lic.iur. 2002, Dr.iur., 2005) and Columbia University in New York, USA (LL.M. 2012 with a focus on Media, Art, Innovation and Technology). Already after his graduate studies in Zurich, he specialized as a teaching and research assistant to Prof. Rolf H. Weber at the University of Zurich and accomplished a doctorate (PhD) in intellectual property and licensing law with a thesis on "the protection of television formats - a legal an economic analysis". He gained practical experiences as a clerk at the district court of Zurich and as an associate in one of Switzerland’s largest law firms.

Dirk Spacek speaks German, English, French and Spanish. He is registered with the Zurich Bar Registry and admitted to practice in all Switzerland.

Migros acquires Tipesca

The Migros Group, through Mérat & Cie. SA, has acquired Tipesca SA, a company incorporated in the canton of Tessin. Tipesca offers a wide range of fish products.

Walder Wyss acted as legal advisor to the Migros Group. The team was led by Alexandre Both (Counsel, Corporate/M&A) and further included Adriano Antonietti (Managing Associate, Corporate/M&A), Dirk Spacek (Managing Associate, IP), Alex Domeniconi (Associate, Corporate/Commercial) and Louis Christe (Trainee, Corporate/M&A).


Migros acquires majority interest in Sushi Mania

Bischofszell Nahrungsmittel AG, a company of the Migros Group, has acquired a majority interest in Sushi Mania SA, a company incorporated in the canton of Fribourg. Sushi Mania specialises in Japanese cuisine and Asian gastronomy.

Walder Wyss acted as legal advisor to the Migros Group. The team was led by Alexandre Both (Counsel, Corporate/M&A) and further included Dirk Spacek (Managing Associate, IP), Tervel Stoyanov (Associate, Corporate/Banking & Finance), David Hill (Associate, Employment), Anna Baldenbach von Bröchen (Associate, M&A) and Simona Müller (Associate, M&A/Real estate).


Acino divests its patch business to Luye Pharma Group Ltd.

Luye Pharma Group Ltd. has entered into an agreement to acquire the TDS business from Acino, through the purchase of the entire issued share capital of Acino AG and Acino Supply AG for EUR 245,000,000. The target group is a Europe based global leader in advanced transdermal drug delivery systems (TDS) and is one of the largest independent TDS manufacturers in Europe. Closing is expected to occur in the second half of 2016.

Walder Wyss comprehensively advised Luye Pharma regarding the Swiss law aspects of this transaction. The team was led by Alexander Gutmans (Partner, Corporate/M&A) and Robert von Rosen (Managing Associate, Corporate) and also included Dirk Spacek (Associate, IP/IT) and Jessica Aeschbach Flórez (Associate, Corporate).


Bayer sells Diabetes Care business

The Bayer group has sold its Diabetes Care business to Panasonic Healthcare Holdings Co., Ltd. The total consideration for this transaction, which includes blood glucose monitoring systems and lancing devices for people with diabetes, is around one billion Euros (JPY 132 billion). The Diabetes Care business will now operate as a stand-alone company named Ascensia Diabetes Care Holdings based in Basel, Switzerland.

Walder Wyss comprehensively advised the Bayer (Schweiz) AG and the Bayer Consumer AG regarding the Swiss law aspects of this transaction. Chequers Capital to acquire Spandex from Gilde Buy Out Partners

Chequers Capital has agreed to acquire the Spandex-group from Gilde Buy Out Partners AG and other shareholders. The Spandex-group is headquartered in Switzerland and is a leading distributor of graphic media and equipment to the signage and visual communication industry.

Chequers Capital is being advised by Walder Wyss with respect to Swiss law.
