Olivia Feusi is an associate in the Corporate & Commercial Team. Her preferred areas of practice include corporate and commercial law as well as contract law. Olivia Feusi graduated in law from the University of Fribourg (lic. iur., 2005) and was admitted to the Bar in 2008. In 2013, she obtained a certificate of advanced studies (CAS) in Law and Management from the University of St. Gallen (ES-HSG) and in 2014, she was awarded a Master of Laws (LL.M.) in Corporate & Commmercial Law from the University of New South Wales, Sydney, Australia. Before joining Walder Wyss, she worked as a law clerk at the District Court of Lucerne as well as an associate in one of the leading corporate law firms and in an international corporate law firm in Zurich.

Her professional languages are German and English. She is registered with the Zurich Bar Registry and is admitted to practice in all of Switzerland.

Aduno sells Vibbek

ADUNO SA sold its acquiring business to SIX Payment Services AG a few months ago. Due to the changed situation of its former business segment "Acquiring", Aduno Holding AG sold all its shares in Vibbek AG to its management.

Walder Wyss has advised Aduno Holding AG as legal advisor in this transaction. The team was led by Urs P. IPO Medartis at SIX Swiss Exchange

Medartis Holding Ltd successfully listed its shares on the SIX Swiss Exchange. The proceeds from the IPO will be used for the expansion of international sales, for the development of the product portfolio and for acquisitions and other investments. The offer price was CHF 48 per share, implying a market capitalization of CHF 563 million. Zürcher Kantonalbank and Bryan Garnier & Co. act as the Joint Global Co-ordinators and Joint Bookrunners, Kepler Cheuvreux as Co-Manager. Quarton International is IPO advisor to Medartis.

Faurecia acquires Hug Engineering AG

Faurecia, one of the world's largest automotive equipment suppliers, entered into a share purchase agreement with German Group ElringKlinger regarding the 100 percent acquisition of Switzerland-based Hug Engineering AG. The Hug group is a market leader in complete exhaust gas purification systems for engines above 750hp. The acquisition will combine Faurecia's global reach and world leading innovative systems for commercial vehicles with Hug Engineering's systems expertise, and support growth in the high horsepower market as regulations come into force. 

The transaction, which is subject to regulatory approval in some European jurisdictions, is expected to close during the first quarter of 2018.

Georg Fischer to acquire Swiss precision casting manufacturer Precicast Industrial Holding SA

Georg Fischer AG is to purchase 100% of the shares in Precicast Industrial Holding SA, the swiss-based precision casting specialist. This is in line with the division’s strategy to increase its industrial sectors presence, in particular in the promising aerospace field. Closing is subject to the approval of the relevant authorities which is expected towards the end of the first quarter of 2018.

Precicast Industrial Holding SA is one of the only independent precision casting, also called investment casting, companies in Europe, specializing on super alloy components for aero engines and industrial gas turbines. In addition, the company started to produce components out of additive manufacturing (3D printing) through Precicast Additive SA.

Walder Wyss acted as advisor for the buyer Georg Fischer AG. Dynatrace acquires Qumram

Dynatrace LLC (Dynatrace) acquired 100% of the shares in Qumram Holding AG (Qumram), a company offering advanced session replay technology for mobile and web applications. Qumram’s technology allows all digital activity to be recorded and replayed, which provides inter alia a transparent digital audit trail for financial services organizations. With the acquisition of Qumram, Dynatrace, a leading digital performance management software company,  is expanding its digital experience capabilities by providing the ability to visually replay a user session within the existing platform.

Walder Wyss advised Dynatrace LLC on all legal aspects of the transaction.
