Reto Jacobs heads the Antitrust and Competition Team. He advises domestic and foreign companies with respect to all competition law issues, represents them before competition authorities and courts, and assists them in complex merger filings. Reto Jacobs advises also with respect to distribution systems and he supports various companies with respect to their antitrust compliance programs. He is lecturer at the University of St. Gall.

Born in 1964, Reto Jacobs was educated at the University of St. Gall (lic. iur. 1990, Dr. iur. 1997). He obtained an additional degree in European competition law from the University of Amsterdam (LL.M. 1993) and stayed as visiting scholar at the University of California at Berkeley.

Reto Jacobs speaks German, English and French. He is registered with the Zurich Bar Registry and admitted to practice in all Switzerland.

CryoLife acquires JOTEC

CryoLife, Inc. (NYSE: CRY), a leading medical device and tissue processing company focused on cardiac and vascular surgery, has entered into a definitive agreement to acquire JOTEC AG for an upfront payment of US$ 225 million, subject to certain adjustments.  JOTEC is a German-based, privately-held leading developer of technologically differentiated endovascular stent grafts, and cardiac and vascular surgical grafts, focused on aortic repair. The transaction is expected to close later this year, subject to customary closing conditions. 

Walder Wyss AG acted as lead counsel to the private sellers. Migros subsidiary Saviva sells Cash+Carry Angehrn

Migros-Genossenschafts-Bund (MGB) sells, through its subsidiary Saviva AG, a company of the M-industry, its Cash+Carry Angehrn (CCA) division to the Vaud-based wholesale specialist Aligro. The CCA division is spun-off into an independent stock corporation (CCA Angehrn AG) for this purpose. It is planned that the new company CCA Angehrn AG will be managed as an independent subsidiary within Aligro and will continue to operate under the brand name CCA Angehrn.

Subject to the approval by the Swiss Federal Competition Commission, the transaction will be closed later this year.

Walder Wyss advised MGB on all legal aspects of the transaction. Cembra Money Bank refinances personal loan portfolio of eny Finance

On 21 July 2017, Cembra Money Bank AG (Cembra) signed an agreement to refinance a CHF 42 million personal loan portfolio from eny Finance AG. eny Finance AG is a Swiss pure online personal loan provider. Cembra has also agreed to partially refinance future personal loan volume from this provider. The deal is structured through a special purpose vehicle (SPV) that is fully owned and consolidated by Cembra. The transaction was closed on 2 August 2017. By this transaction, eny Finance gets access to an additional refinancing source for its growing consumer credit portfolio. At the same time, eny Finance remains fully independent and acts as self-standing provider of consumer loans.

Walder Wyss acted as legal advisor to Cembra with regard to all legal aspects of the transaction. BASF acquires Rolic Group

BASF acquires Rolic, a Swiss based group offering innovative and forward-thinking solutions, particularly in the display and security industries as well as the optical film business.

Walder Wyss has acted as advisor to the seller in all legal aspects of the transaction. Sharp Corporation and Skytec Group Limited enter into strategic business alliance

Japan-based Sharp Corporation, part of Taiwan's Foxconn Group, enters into a strategic business alliance with Skytec Group Limited ("Skytec") regarding the manufacture and sale of Sharp branded products and services in Europe. For that purpose, Sharp acquires a majority stake of 56.7% in the newly incorporated joint venture Skytec UMC Ltd.

Skytec UMC Ltd. is the holding company of the operating companies Universal Media Corporation/Slovakia/s.r.o. and UMC Poland Sp. z o.o. Through Skytec UMC Ltd., Sharp and Skytec will be running together the UMC Group's business of designing, manufacturing and distributing Sharp branded TVs in Europe. Skytec and Sharp aim at organically integrating the resources possessed by the Sharp group, such as the brands and liquid crystal panels, with the business sales capabilities possessed by Skytec.
