Reto Jacobs heads the Antitrust and Competition Team. He advises domestic and foreign companies with respect to all competition law issues, represents them before competition authorities and courts, and assists them in complex merger filings. Reto Jacobs advises also with respect to distribution systems and he supports various companies with respect to their antitrust compliance programs. He is lecturer at the University of St. Gall.

Born in 1964, Reto Jacobs was educated at the University of St. Gall (lic. iur. 1990, Dr. iur. 1997). He obtained an additional degree in European competition law from the University of Amsterdam (LL.M. 1993) and stayed as visiting scholar at the University of California at Berkeley.

Reto Jacobs speaks German, English and French. He is registered with the Zurich Bar Registry and admitted to practice in all Switzerland.

BASF acquires Rolic Group

BASF acquires Rolic, a Swiss based group offering innovative and forward-thinking solutions, particularly in the display and security industries as well as the optical film business.

Walder Wyss has acted as advisor to the seller in all legal aspects of the transaction. The team was led by Florian Gunz Niedermann and Daniel Staffelbach (Partners, Corporate/M&A) and further included Fabienne Anner (Associate/M&A),  Michael Isler (Partner, IP/IT) and  Reto Jacobs (Partner, Competition).


Sharp Corporation and Skytec Group Limited enter into strategic business alliance

Japan-based Sharp Corporation, part of Taiwan's Foxconn Group, enters into a strategic business alliance with Skytec Group Limited ("Skytec") regarding the manufacture and sale of Sharp branded products and services in Europe. For that purpose, Sharp acquires a majority stake of 56.7% in the newly incorporated joint venture Skytec UMC Ltd.

Skytec UMC Ltd. is the holding company of the operating companies Universal Media Corporation/Slovakia/s.r.o. and UMC Poland Sp. z o.o. Through Skytec UMC Ltd., Sharp and Skytec will be running together the UMC Group's business of designing, manufacturing and distributing Sharp branded TVs in Europe. Skytec and Sharp aim at organically integrating the resources possessed by the Sharp group, such as the brands and liquid crystal panels, with the business sales capabilities possessed by Skytec.

Walder Wyss acts as advisor to Skytec in all legal aspects of the transaction. The team is led by Stefan Knobloch (Partner, Corporate/M&A) and further includes Christian Lütolf (Associate, Corporate/M&A) and Reto Jacobs (Partner, Competition).


Sale of Majority Stake in AutoForm Group

On 22 July 2016, the shareholder sold a majority stake in the AutoForm Group to Astorg Partners. AutoForm Group is a leading provider of software solutions for the design and sheet metal forming simulation. Astorg Partners is one of the most successful independent private equity companies in Europe.

Walder Wyss advised the shareholder on the transaction. Markus Vischer (Partner, Corporate/M&A) and Stefan Knobloch (Counsel, Corporate/M&A) led the transaction. The team included Martin Busenhart (Partner, Tax), Janine Corti (Associate, Tax), Reto Jacobs (Partner, Competition), Boris Räber (Associate, Corporate/M&A) and Fabienne Anner (Associate, Corporate/M&A).


J. Safra Sarasin Holding AG to acquire Credit Suisse (Monaco) S.A.M. and Credit Suisse (Gibraltar) Limited

On 22 March 2016, J. Safra Sarasin Holding AG entered into an agreement with Credit Suisse AG regarding the sale and purchase of all shares in Credit Suisse (Monaco) S.A.M. The transaction is subject to customary conditions, including regulatory approvals and is expected to complete before the end of 2016. Once the transaction is completed, the combined operations would rank among the largest banks in Monaco.

On the same day, J. Safra Sarasin Holding AG entered into a separate agreement with Credit Suisse AG regarding the sale and purchase of all shares in Credit Suisse (Gibraltar) Limited. Credit Suisse (Gibraltar) has been operating since 1987 and is considered as one of the leading banks in Gibraltar.

Walder Wyss is advising J. Safra Sarasin Holding AG on both transactions. The Walder Wyss team includes Patrick W. Tamedia acquires Ricardo-Group

Tamedia Ltd. acquires the Ricardo-Group, which runs the auction platform ricardo.ch, vehicle platform autoricardo.ch, the classified advertisement homepage olx.ch and the online shopping center ricardoshops.ch, for CHF 240 million. The Ricardo-Group employs about 190 people in Switzerland and a development team with 30 members in France. Ricardo.ch is Switzerland's biggest online marketplace, realized total revenues of about CHF 40 million in 2014 and has 2.3 million members. The transaction is subject to Swiss Competition Commission approval.
