Ueli Sommer is a partner at Walder Wyss and head of the Employment Law Team. He has many years of experience in all aspects of employment law and focuses on compensation schemes, option and participation plans. He also advises international companies and private individuals on immigration and choice of domicile issues. In addition, Ueli Sommer has substantial experience in structuring of agreements and transactions involving complex corporate group issues. He advises companies on restructurings and manages corporate transactions. Ueli Sommer is a Member of the Board of the European Employment Lawyers Association (EELA), Immediate Past Chair of the International Employment Law Committee of the ABA Section of International Law, President of the Board of the Australian Swiss Chamber of Commerce and Industry and Vice-Chair of the Discrimination and Equality Law of the International Bar Association.

Born in 1970, Ueli Sommer was educated at Zurich University (lic. iur. 1995, Dr. iur. 1999) and at the University of New South Wales in Sydney (LL.M. 2001). He worked as a district court clerk before joining Walder Wyss in 1999. In 2001 and 2002, he worked as a foreign associate for Allens Arthur Robinson in Sydney.

Ueli Sommer speaks German and English. He is registered with the Zurich Bar Registry and admitted to practice in all Switzerland.

DPE acquires AWK Group

Deutsche Private Equity (DPE) acquires majority interest in AWK Group, one of the largest independent Swiss consulting companies for information technology and digitalization. 

Walder Wyss advised DPE on the transaction. Mercury acquires CES

Mercury Systems, a NASDAQ listed leading commercial provider of secure processing subsystems, acquires the Swiss mission computing company Creative Electronic Systems (CES).

Walder Wyss AG has acted as advisor to Mercury Systems in all legal aspects of the transaction. The team was led by Urs P. Greatbatch/INTEGER

Following completion of the acquisition of the Lake Region Medical groupe by Greatbatch, Inc. and the renaming of Lake Region Medical into INTEGER, Greatbatch contributed in multiple capital increases own shares to Swiss-based P Medical Holding AG/INTEGER (Switzerland) GmbH, which were swapped against shares in the Irish-based Lake Region Medical Holdings Limited. The transaction was completed by a down-stream merger of P Medical Holding AG into its subsidiary INTEGER (Switzerland) GmbH.

Oriflame: Relocation with Cross-Border Merger Completed

Oriflame Holding AG (OHAG) acquired through a public share-for-share exchange offer from the shareholders of Oriflame Cosmetics SA, Luxemburg (OCSA) approx. 97.7% of all shares and Swedish depository receipts in OCSA (OCSA SDRs). In connection with the successful completion of the exchange offer, OCSA SDRs were delisted and the OHAG shares became listed on the main market of Nasdaq Stockholm. OHAG (as acquiring entity) and OCSA (as acquired entity) completed the transaction through a cross-border merger.

Relocation of Oriflame

Oriflame Cosmetics SA, Luxembourg (OCSA), envisages to relocate the Oriflame group from Luxembourg to Switzerland. The proposed change of domicile is done through a share-for-share offer with the OCSA shareholders invited to exchange their current holdings of shares and Swedish depository receipts in OCSA (OCSA SDRs) for shares in a newly established Swiss company named Oriflame Holding AG (OHAG). The acceptance period of the exchange offer commenced on 26 May 2015 and expires on 15 June 2015. Provided that the exchange offer is successfully completed, OHAG will become the new parent company of OCSA and, thus, the Oriflame group. In connection with the completion of the exchange offer, OCSA SDRs will be delisted and the OHAG shares will be listed on the main market of Nasdaq Stockholm.
