Walder Wyss successfully obtained interim measures before the Commercial Court of the Canton of Zurich on behalf of a minority shareholder of a medical company, ordering the company to safeguard all of the minority shareholder's rights and to re-enter the minority shareholder in its share register. The dispute arose from the medical company's denial of the minority shareholder's status as a shareholder.
Following the granting of interim measures, Walder Wyss secured a court settlement for the minority shareholder under which the medical company undertook to issue new shares by way of a capital increase, thereby conferring shareholder status on the minority shareholder by way of original acquisition. In the meantime, the settlement agreement has been closed, and the capital increase has been registered in the commercial register as well as the minority shareholder entered in the medical company’s share register with full voting rights. In addition, the medical company bore all court costs and has undertaken to make a further substantial settlement payment to the minority shareholder, secured by additional shares in the company (assignment by way of security). The proceedings before the Commercial Court were struck off the docket as settled.
The Walder Wyss team comprised Florian Iten (Senior Associate, Corporate/M&A, Litigation), Michael Kündig (Managing Associate, Corporate/M&A), Pascale Köster (Partner, Litigation & Arbitration) and Thomas Müller (Partner, Banking & Finance).
