Tervel Stoyanov is a managing associate with the Banking & Finance Team. His expertise includes financing transactions and commodities related matters (e.g. SCTF, International Trade, etc.). Further, he advises on regulatory and commercial law aspects related to financial services.

Born in 1983, Tervel Stoyanov graduated with a Bachelor of Laws in 2005 and obtained a Master of Laws in 2006 from the University of Fribourg. He was admitted to the Bar in 2009 and was awarded a Master of Laws in Corporate Law (LL.M.) from New York University the following year. In 2014, he further obtained a Certificate of Advanced Studies (CAS) for Commodity Professionals from the University of Lucerne, in association with the Zug Commodity Association and the Lugano Commodity Trading Association. Prior to joining Walder Wyss, Tervel Stoyanov has been an associate with another major law firm in Geneva and Zurich. His work experience also includes a secondment with the legal department of one of Switzerland's leading banks in Zurich.

Tervel Stoyanov practises in English and French and has a good command of German. He is registered with the Zurich Bar Registry and admitted to practice in all Switzerland.

CryoLife acquires JOTEC

CryoLife, Inc. (NYSE: CRY), a leading medical device and tissue processing company focused on cardiac and vascular surgery, has entered into a definitive agreement to acquire JOTEC AG for an upfront payment of US$ 225 million, subject to certain adjustments.  JOTEC is a German-based, privately-held leading developer of technologically differentiated endovascular stent grafts, and cardiac and vascular surgical grafts, focused on aortic repair. The transaction is expected to close later this year, subject to customary closing conditions. 

Walder Wyss AG acted as lead counsel to the private sellers. First Quantum Minerals Ltd. announces issuance of Senior Notes

Walder Wyss has acted as Swiss counsel to First Quantum Minerals Ltd. (TSX: FM), a Vancouver, British Columbia based mining and metals company, in relation to the issuance on 22 March 2017 of Senior Notes due 2023 and 2025 for a total amount of USD 2,200,000,000 (guaranteed by certain of the company’s subsidiaries, including in Switzerland).

The team was led by Tervel Stoyanov (Associate, Banking & Finance) and Thomas Müller (Partner, Banking & Finance) and further included Maurus Winzap (Partner, Tax).


Keytrade Bank SA merges with Arkéa Direct Bank SA

After having assisted French banking group Crédit Mutuel Arkéa in relation to its acquisition of all of Belgian online banking leader Keytrade Bank’s activities, including in Switzerland, which became effective in June 2016, Walder Wyss Ltd. assisted Crédit Mutuel Arkéa in relation to the merger by absorption of Keytrade Bank SA, Brussels (seat of the Swiss registered and FINMA licenced branch STRATEO) by Arkéa Direct Bank SA (previously Fortuneo SA), which became effective on 3 November 2016. Further to the merger, Arkéa Direct Bank SA became the new seat of STRATEO, Geneva, Branch of Arkéa Direct Bank SA Puteaux (Paris), a FINMA licenced Swiss branch of a foreign bank and securities dealer.

Givaudan SA acquires Activ International

On 17 January 2017, Givaudan SA (Givaudan), Vernier, Switzerland (SIX: GIVN), announced that it had acquired Activ International (Activ) as part of its 2020 strategy to strengthen capabilities in natural flavour solutions to its customers.

Activ offers a range of natural and organic flavours, marine extracts, seafood and vegetable based culinary solutions to customers. With headquarters in Bienne (Switzerland), Activ operates from locations in Somerset (New Jersey, USA), Melaka (Malaysia), Mitry-Mory (Paris, France) and Arequipa (Peru).

While terms of the deal have not been disclosed, Activ's business would have represented approximately CHF 40 m of incremental sales to Givaudan's results in 2016 on a proforma basis.

Credit Suisse successfully launched its new subsidiary Credit Suisse (Switzerland) Ltd.

Credit Suisse (Switzerland) Ltd. was incorporated with the purpose to be organized as a Swiss bank. It is a wholly owned subsidiary of Credit Suisse AG. The transfer of assets and liabilities according to Swiss merger law became effective on 20 November 2016. The transfer was aimed to evolve the legal entity structure of the Credit Suisse Group to meet regulatory requirements for systematically important banks.

Walder Wyss advised Credit Suisse's business units Commodity Trade Finance (CTF) and Private Banking (PB) in the transfer of certain Swiss and foreign law security agreements guaranteeing loans granted by the bank. Walder Wyss coordinated and streamlined the advice of 30 international law firms in various jurisdictions all over the world in connection with such transfer and the requirements for the re-registration of these security agreements in those jurisdictions.
