Hubertus Hillerström is a partner in the Banking & Finance Team. He is specialised in national and international financings and mergers & acquisitions, including structured finance as well as private equity and venture capital transactions. He has accompanied numerous commodities and trade finance operations (oil and gas, metals and soft commodities) and follows closely the legislative changes in this field. Hubertus Hillerström also specialises in real estate transactions and lease matters. He joins the Geneva team after more than nine years in our Zurich office.

Born in 1979, Hubertus Hillerström was educated at Fribourg University (lic. iur. 2003 including special mentions European Law Licentiate and Bilingual Licentiate) and he holds an MBA from IE Business School (Instituto de Empresa, MBA 2013) in Madrid. He has working experience as trainee in law firms and banks in Zurich, Geneva, London and Madrid and as a secondee in the legal departments of banks in Geneva and Zurich specialising in commodities & trade finance.

Hubertus Hillerström speaks French, German, English, Swedish and Spanish. He is registered with the Geneva Bar and admitted to practice in all Switzerland.

E.CF S.A.S. acquires majority interest in Andy Mannhart AG

On 16 July 2018, E.CF S.A.S., the European leader in the distribution of small equipment and consumables to professionals in the hospitality and catering sectors, acquired a majority interest in Andy Mannhart AG. With this acquisition, E.CF S.A.S. continues its international expansion strategy, adding an important Swiss player to its already broad network of international subsidiaries. 

Walder Wyss has advised E.CF S.A.S. on the transaction. Walder Wyss advises Morval Vonwiller Group and Banque Morval SA and their shareholders on the group's acquisition by Intesa Sanpaolo

On April 12, 2018, Morval Vonwiller Holding SA (the "Morval Group") and Fideuram – Intesa Sanpaolo Private Banking, a subsidiary of the Intesa Sanpaolo Group ("Intesa Sanpaolo") announced the completion of the acquisition by Intesa Sanpaolo of the Morval Group, including Banque Morval SA, after having obtained all necessary regulatory authorizations.

This acquisition is a first step in realizing Intesa Sanpaolo's strategic plan to become one of the first five private banks in Europe and the second in the Eurozone in terms of assets under management. It will reinforce Intesa Sanpaolo's own presence on the international private banking markets through its own division (already operational in Lugano, London and Luxembourg) and allow Intesa Sanpaolo to benefit from the expertise of the Morval Group.

Four members of the Zanon di Valgiurata family (which founded the Group) will remain minority shareholders and maintain key positions and active roles in the Morval Group's operational management.

Walder Wyss Ltd. has been acting as legal advisor to the Morval Group and its shareholders with regards to all Swiss contractual, corporate and regulatory aspects of the transaction. Intesa Sanpaolo – The Morval Vonwiller Group – Banque Morval SA

The shareholders of Morval Vonwiller Holding SA (the «Group»), and Intesa Sanpaolo SpA, one of the leading banking groups in Europe and the Italian leader in the retail, corporate and wealth management activities, have signed an agreement for the sale and purchase of the Group, including Banque Morval SA. The agreement is in line with Intesa Sanpaolo's strategic plan to strengthen its presence on international markets in the field of private banking. The Group's presence in Geneva will permit Intesa Sanpaolo's Private Banking Division, currently present in Lugano, London and Luxembourg, to further expand its geographic footprint. 

Following completion of the transaction, the Group will benefit from the scale, scope and financial strength of Intesa Sanpaolo. This initiative will provide strong benefits to the customers and employees of the Group, offering the combined advantages of Banque Morval’s positioning as an international private banking boutique and Intesa Sanpaolo’s status as a leading European financial institution. 

Members of the Zanon di Valgiurata family (which founded the Group) currently involved in the Group's management will remain minority shareholders and continue to be involved in managing the Group's affairs.  

The transaction is subject to obtaining all necessary regulatory authorizations.

Credit Suisse successfully launched its new subsidiary Credit Suisse (Switzerland) Ltd.

Credit Suisse (Switzerland) Ltd. was incorporated with the purpose to be organized as a Swiss bank. It is a wholly owned subsidiary of Credit Suisse AG. The transfer of assets and liabilities according to Swiss merger law became effective on 20 November 2016. The transfer was aimed to evolve the legal entity structure of the Credit Suisse Group to meet regulatory requirements for systematically important banks.

Walder Wyss advised Credit Suisse's business units Commodity Trade Finance (CTF) and Private Banking (PB) in the transfer of certain Swiss and foreign law security agreements guaranteeing loans granted by the bank. Walder Wyss coordinated and streamlined the advice of 30 international law firms in various jurisdictions all over the world in connection with such transfer and the requirements for the re-registration of these security agreements in those jurisdictions.

Crédit Mutuel Arkéa to acquire Keytrade Bank

On 7 December 2015, Belgian bank Crelan and French bank Crédit Mutuel Arkéa entered into an exclusivity agreement in view of the acquisition by the latter of all of Belgian online banking leader Keytrade Bank’s activities, including in Switzerland. The transaction is to be implemented in the course of the first quarter of 2016 and will enable Crédit Mutual Arkéa to continue its expansion in all fields of digital banking.

Walder Wyss acts as Swiss legal advisor to Crédit Mutuel Arkéa.
