Samuel Dürr is a partner in the Tax Team. He is advising in national and international corporate tax, with a special focus in the area of real estate financing, structured financing, capital market transactions, reorganisations, cross-border structuring and relocations. Moreover he has specialised in estate tax planning of non-listed groups and complex interstate tax matters.

Born in 1964, Samuel Dürr was educated at the University of Berne (Attorney 1991) and graduated as certified tax expert (1996). He worked as a tax consultant of an international consulting firm, deputy head of the tax department of a major telecom firm and as a tax partner of a Zurich law firm.

Samuel Dürr speaks German, English and French. He is registered with the Berne Bar Registry and admitted to practice in all Switzerland.

Takeover of Pax Anlage AG by Baloîse

Baloîse (SIX: BALN) is to acquire a majority stake in publicly listed real-estate company Pax Anlage AG (SIX: PAXN). By entering into agreements with majority shareholders Pax Holding (Genossenschaft), Pax, Schweizerische Lebensversicherungs-Gesellschaft AG and Nürnberger Lebensversicherung AG, Baloîse Life Ltd will acquire around 70 per cent of the share capital and voting rights. Today, Baloîse published the pre-announcement of a public takeover offer for the remaining approx. 30 per cent of shares in free float at a price of CHF 1,600 per share (subject to dilution effects). The aggregate transaction value amounts to approx. CHF 288 mio. The transaction is subject to regulatory approvals.

Walder Wyss acts as legal counsel to Pax Holding (Genossenschaft) and Pax, Schweizerische Lebensversicherungs-Gesellschaft AG on this transaction. The Walder Wyss team is being led by Alex Nikitine (Partner, M&A, Capital Markets) and Francis Nordmann (Partner, Real Estate) and further included Samuel Dürr (Partner, Tax), Fabian D. Intershop aquires World Trade Center Lausanne

Intershop has acquired the World Trade Center Lausanne as per 1 December 2016 for a purchase price of CHF105.5 million. The acquisition represents one of the largest real estate M&A transactions in Switzerland during 2016.
 
Walder Wyss has structured the transaction on behalf of the selling lender. The team was lead by Thomas Müller (Partner, Finance) and Johannes Bürgi (Partner, Real Estate) and included Samuel Dürr (Partner, Tax), Jan Ole Luuk (Counsel, VAT), and Julia Lehner (Associate, Real Estate/Finance).


Spadina House AG acquires SkyVision

Spadina House AG acquires all shares in SkyVision Global Networks Ltd., a global IP telecommunication service provider which offers solutions over satellite and fibre optic systems. The acquisition supplements Spadina's portfolio in satellite communication providers. The transaction was highly complex and involved multiple global jurisdictions and telecommunication licensing regimes.

Walder Wyss advised Spadina House AG regarding all Swiss law aspects of this transaction. The team was led by Robert von Rosen (Managing Associate, Corporate/M&A) and further included Samuel Duerr (Partner, Tax).


Merger at myfactory Software Schweiz

myfactory Holding GmbH, Munich, the manufacturer of a modern web-based ERP cloud software and its Swiss distributor, myfactory Software Schweiz, have merged to create a leading ERP cloud providor in the DACH region.

Nikolaus Wein Corporate Finance acted as M&A advisor to myfactory Software Schweiz and Walder Wyss advised the Swiss distributor in all corporate and tax aspects of the merger. The team was headed by Luc Defferrard (Partner, Corporate M&A) and included Samuel Dürr (Partner, Tax) and Simon Kehl (Managing Associate, Corporate M&A).


Sale of Steigenberger Hotel Gstaad

On 8 December 2015 HUUS Gstaad AG acquired the Steigenbeger Mountain Hotel and Spa in Gstaad-Saanen from listed Acron Helvetia Immobilien AG for a purchase price of total CHF 26.26 Mio. HUUS Gstaad AG has only recently been established and is managed by the Private Equity firm Manixer. The transaction, which was announced already back in mid November 2015, was approved by the extraordinary shareholders’ meeting of Acron on 3 December 2015. The 4-star-hotel will be fully renovated and re-opened in December 2016 under the name "HUUS" and with new management.

Walder Wyss was advised the buyer, and Manixer respectively, in all legal aspects of the transaction.
