Thomas P. Müller is a partner with Walder Wyss. He advises Swiss and international corporate and public sector clients in all aspects of real estate and infrastructure law (project development, realisation, commercial leases, real estate transactions, financing), in the health care sector as well as in respect to the cooperation of the private and the public sectors (Public Private Partnership, public procurement, privatisations). Thomas P. Müller is a lecturer in the Master programme administrative law of the University of Basle and a member of the experts forum of PPP Switzerland.

Thomas P. Müller was educated at the University of Basle (lic. iur. 1990, Dr. iur. 1996, summa cum laude) and completed his studies as Certified Specialist SBA Construction and Real Estate Law. He has working experience as a law clerk (District Court of Laufenburg, Administrative Court of the Canton of Argovia), a research and teaching assistant and a lecturer at the University of Basle and as an attorney in an Argovia and a Basle law firm. He regularly publishes and speaks at conferences in his fields of expertise.

Precision Surfacing Solutions acquires Meyer Burger's wafering business

Precision Surfacing Solutions (PSS) (formerly Lapmaster Wolters Ltd), a global supplier of equipment and services for surface enhancement technology, intends to acquire from Meyer Burger Technology Ltd (SIX Swiss Exchange: MBTN) the wafering business consisting of photovoltaic and specialised materials (e.g. semiconductor and sapphire glass industries) wafering equipment and service business. As part of the transaction, significant parts of Meyer Burger's current production facilities in Thun as well as around 100 employees involved in the wafering technology portfolio in Thun and the relevant service locations worldwide will also be transferred to PSS. Completion of the contract is subject to standard closing conditions. The closing of the transaction is expected to be completed towards the end of the first quarter of 2019. The agreed purchase price is CHF 50 million plus earn-out component. Both Meyer Burger and PSS view the transaction as an important strategic milestone, which will further strengthen two global technology leaders. 

PSS is a recognized industry leader in the development of technology to produce micron accuracy surface finishes. PSS is headquartered in Mt. Prospect, IL/USA, employing over 900 people across 13 manufacturing facilities on three continents.

ADVA Optical Networking acquires Oscilloquartz SA

ADVA Optical Networking SE, Martinsried/München and Meiningen, Germany acquires from Swatch Group all shares in Oscilloquartz SA, a leading solutions provider for precise network. The acquisition is subject to standard closing conditions and is expected to close in early April 2014.

Walder Wyss advised the buyer in this transaction. The team was led by Urs P. Gnos (Partner, Corporate/M&A) and included Thomas Meister (Partner, Tax), Thomas Müller-Tschumi (Partner, Real Estate), Fabienne Claudon (Associate, Corporate/M&A), Janine Corti (Associate, Tax) and Simone Wetzstein (Associate, Employment).


Husky to acquire Schöttli Group

Husky Injection Molding Systems, Canada, a leading global supplier of injection molding equipment and services to the plastics industry, and the shareholders of Mould Technologies Holding AG have entered into a share purchase agreement regarding the acquisition of Schöttli Group, a global leader in medical and closure mold making based in Diessenhofen, Switzerland, with subsidiaries in China and the United States. The transaction is expected to close in early December.

Walder Wyss AG has acted as legal advisor to Husky and lead counsel Allen & Overy with respect to Swiss law. The Walder Wyss team was led by partner Markus Vischer together with managing associate Lucas Hänni (both Corporate/M&A). Further team members comprised partner Thomas Müller-Tschumi (Real Estate), managing associate Gion Giger (Antitrust) as well as associates Dirk Spacek (IP/IT) and Fabienne Claudon (Corporate) and trainee Fabian Glässer (Corporate).


Another success in the TV usage data dispute

After having obtained the lifting of the ex parte measures issued by the High Court of Nidwalden (see our news report of 12 June 2013), Walder Wyss has also been successful in the proceedings before the Federal Administrative Court. All injunctions (again issued ex parte based on an application of 3+) have been set aside today with immediate effect.

Mediapulse has been represented in the proceedings before the Federal Administrative Court by Daniel Staffelbach, Thomas Müller-Tschumi and Oliver M. Kunz.


Acquisition of MEYCO Equipment Business from BASF

Walder Wyss advised Atlas Copco, an internationally leading Sweden-based provider of industrial productivity solutions which is listed on the Stockholm Stock Exchange, in legal and tax aspects in connection with the acquisition of the MEYCO Equipment Business from BASF Construction Chemicals Europe AG, Zurich. The MEYCO Equipment Business was acquired by and will be integrated in Switzerland-based Atlas Copco (Schweiz) AG.
