Before joining Walder Wyss in 2001, he gained working experience as clerk at the civil court Basel, trainee in a Basel law firm and associate in Zurich and London law firms.

Francis Nordmann is recognized as leading real estate practitioner by Chambers and PLC. He speaks German, English, French and Hebrew. He is registered with the Zurich Bar Registry and admitted to practice in all Switzerland.

Stenprop sells its real estate portfolio to real estate investment fund Helvetica Swiss Commercial

Walder Wyss advised UK listed Stenprop (www.stenprop.com) in the course of the sale of its real estate portfolio to the real estate investment fund helvetica Swiss Commercial. The 7 properties are situated at good locations in the Greater Zurich Area, Central Switzerland, Greater Basel area, Western Switzerland and Ticino. The transactions closed through sale of assets as well as in the course of a share deal.

Walder Wyss advised Stenprop in all legal matters. The team was led by Francis Nordmann (Partner, Real Estate) and Thomas Meister (Partner, Tax) which were assisted by Jan Ole Luuk (Counsel, Tax), André Kuhn (Associate, Real Estate), Daniel Donauer (Associate, M&A) and Ursina Gremminger (Associate, Tax).


Akara acquires Patrimonial Suisse SA

Akara Funds AG, on behalf of Akara Diversity PK, acquired end of Mai 2018 the holding company Patrimonial Suisse SA and its three affiliates, including a portfolio of nine properties in the city of Geneva and the French part of Switzerland. The aggregate property value amounted to about CHF 113 mio.  

Walder Wyss has advised Akara Funds AG on the transaction. The team was led by Francis Nordmann (Partner, Real Estate) and Alexandre Both (Partner, M&A) and included Grégoire Henriod (Associate, M&A) and Valentin Wiesner (Associate, Real Estate).


AMEOS Group acquires Swiss Hospital Seeklinik Brunnen

On 8 September 2017, the AMEOS Group acquired the Seeklinik Brunnen.

The Seeklinik Brunnen focuses on integrative medicine and specialises in the treatment of psychological disorders such as burnout, depression and sleep disorders. The clinic has 46 rooms and one of the most modern sleep laboratory in Switzerland.

Covering 41 locations in Germany, Austria and Switzerland, AMEOS Group has 12,800 employees working in 77 health care facilities. AMEOS Group is one of the most important health care providers in the German-speaking countries.

Walder Wyss AG advised AMEOS on all legal aspects of this transaction. Walder Wyss advises Pradera on the acquisition of a Swiss real estate asset

Walder Wyss advises Pradera on the acquisition of a Swiss real estate asset within a pan-European real estate portfolio of IKEA Centres together with Gleiss Lutz acting as lead counsel.

The portfolio of retail parks situated next to IKEA stores comprises around 500 units with a gross lettable area of around 538,000 sqm. Completion on 17 assets located in Germany, France and Poland is expected on 4 April 2017, with a further eight retail parks in Switzerland, Sweden, Finland, Denmark, the Czech Republic due to complete on 31 August.

Pradera is a market leading specialist fund and asset manager of shopping centres and retail parks in Europe and Asia. Founded in 1999, Pradera’s  EUR 2.7 billion portfolio prior to this acquisition comprised 44 shopping centres and retail parks in the UK, Spain, Italy, Germany, Poland, the Czech Republic and Greece, Turkey and China with more than 2,500 stores.

The Walder Wyss team headed by Francis Nordmann (Partner, Real Estate/Finance) comprised the following lawyers: Tina Hurni (Associate, Real Estate), André Kuhn (Associate, Real Estate), Roger Ammann (Associate, Finance) and Jan Ole Luuk (Counsel, VAT).


Takeover of Pax Anlage AG by Baloîse

Baloîse (SIX: BALN) is to acquire a majority stake in publicly listed real-estate company Pax Anlage AG (SIX: PAXN). By entering into agreements with majority shareholders Pax Holding (Genossenschaft), Pax, Schweizerische Lebensversicherungs-Gesellschaft AG and Nürnberger Lebensversicherung AG, Baloîse Life Ltd will acquire around 70 per cent of the share capital and voting rights. Today, Baloîse published the pre-announcement of a public takeover offer for the remaining approx. 30 per cent of shares in free float at a price of CHF 1,600 per share (subject to dilution effects). The aggregate transaction value amounts to approx. CHF 288 mio. The transaction is subject to regulatory approvals.

Walder Wyss acts as legal counsel to Pax Holding (Genossenschaft) and Pax, Schweizerische Lebensversicherungs-Gesellschaft AG on this transaction.
