Before joining Walder Wyss in 2014 Fabian Looser worked in a leading Swiss law firm in Basel for several years and was a trainee at various law firms in Basel and the Präsidialdepartement of the canton of Basel-Stadt.

Metall Zug (SIX: METN) acquires majority holding in Haag-Streit Holding AG

The Metall Zug Group has signed an agreement to acquire 70% of Haag-Streit Holding AG, based in Köniz, Switzerland. The transaction is expected to be consummated during the first quarter of 2018. 

Haag-Streit is a leading medical technology company in the fields of ophthalmology (diagnostics & surgical microscopy), pulmonology and optics. The Haag-Streit Group comprises more than twenty companies in Europe, America and the Far East. Its head office is in Köniz, Switzerland, and it has additional production facilities in Switzerland, Germany, the United Kingdom and the USA. In the 2016 financial year the company and its approximately 900 employees generated sales of about CHF 200 million. As the Metall Zug Group’s fourth business unit, Haag-Streit will continue to maintain an independent market presence with its own autonomous brand. The Haag-Streit Group generated operating profit (EBITDA) of some CHF 30 million in the 2016 financial year. Its EBITDA margin was nearly 16%. 

Metall Zug, an industrial group of companies headquartered in Zug, comprises three Business Units and has a workforce of around 4,000. The holding company Metall Zug AG is listed in the Swiss Reporting Standard of SIX Swiss Exchange.

Walder Wyss Ltd has been advising Metall Zug as Lead Counsel on all legal aspects of the transaction. Ardian will acquire lighting Group SLV from Cinven

The independent private investment company Ardian has won the bidding for the Germany based lighting maker SLV. Ardian entered into an agreement with Cinven to acquire SLV. The completion of the transaction is subject to approval of the applicable anti-trust authorities.

SLV has experienced significant growth over the past decades and became a leading provider of lighting fixtures for residential and commercial space. With the support of Ardian, SLV intends to continuously innovate its diversified product portfolio and further develop its international footprint.

Bayer sells Diabetes Care business

The Bayer group has sold its Diabetes Care business to Panasonic Healthcare Holdings Co., Ltd. The total consideration for this transaction, which includes blood glucose monitoring systems and lancing devices for people with diabetes, is around one billion Euros (JPY 132 billion). The Diabetes Care business will now operate as a stand-alone company named Ascensia Diabetes Care Holdings based in Basel, Switzerland.

Walder Wyss comprehensively advised the Bayer (Schweiz) AG and the Bayer Consumer AG regarding the Swiss law aspects of this transaction. Knip AG Closes Largest Fintech Investment Round in Switzerland

Knip AG, Zurich, recently closed Switzerland's largest fintech financing round for a start-up so far with CHF 15 million. The series B round was led by Route 66 Ventures, which was joined by Creathor Venture and QED Investors (respectively funds managed by these venture capital firms) as series B investors, adding to the existing series A investors such as Orange Growth Capital and Redalpine. Knip AG is a mobile-first digital insurance broker enabling its users through an app to easily view and manage their insurance policies on their smartphone.

Walder Wyss acted as legal advisor to Route 66 Ventures, LLC, as lead series B investor on this transaction.
