Alexander Gutmans is a partner at Walder Wyss since 2014. Born in 1967, Alexander Gutmans studied at the university of Basel (lic. iur. 1990; Dr. iur. 1995) and Lausanne an received a master’s degree from Yale Law School (LL.M. 1996). In 1993 Alexander Gutmans was admitted as attorney at law and in 2002 as notary. He started his professional career as legal counsel at Sandoz AG and after an assignment as foreign associate with an American law firm in New York he worked during 15 years as a lawyer for a leading Swiss law firm with offices in Basel, Bern and Zurich, during the last 11 years as a partner.

Precision Surfacing Solutions acquires Meyer Burger's wafering business

Precision Surfacing Solutions (PSS) (formerly Lapmaster Wolters Ltd), a global supplier of equipment and services for surface enhancement technology, intends to acquire from Meyer Burger Technology Ltd (SIX Swiss Exchange: MBTN) the wafering business consisting of photovoltaic and specialised materials (e.g. semiconductor and sapphire glass industries) wafering equipment and service business. As part of the transaction, significant parts of Meyer Burger's current production facilities in Thun as well as around 100 employees involved in the wafering technology portfolio in Thun and the relevant service locations worldwide will also be transferred to PSS. Completion of the contract is subject to standard closing conditions. The closing of the transaction is expected to be completed towards the end of the first quarter of 2019. The agreed purchase price is CHF 50 million plus earn-out component. Both Meyer Burger and PSS view the transaction as an important strategic milestone, which will further strengthen two global technology leaders. 

PSS is a recognized industry leader in the development of technology to produce micron accuracy surface finishes. PSS is headquartered in Mt. Prospect, IL/USA, employing over 900 people across 13 manufacturing facilities on three continents.

SHS invests in Swiss life science company evitria AG

The SHS V fund managed by Tübingen-based SHS Gesellschaft für Beteiligungsmanagement has acquired a joint stake in Swiss evitria AG together with AFINUM. The life science company supplies large pharmaceutical and biotech companies with customized antibodies for research purposes. 

SHS Gesellschaft für Beteiligungsmanagement is based in Tübingen, Germany and invests in medical technology and life science companies with a focus on expansion financing, changes in shareholder structures and successor situations. It was founded in 1993 and has since then gained extensive experience as an industry investor, which supports the growth of its portfolio companies through a network of partnerships, regulatory issues or entering new markets. 

Walder Wyss has advised SHS as legal advisor in this transaction. The team included Robert von Rosen (Partner, Corporate/M&A), Alexander Gutmans (Partner, Corporate/Venture Capital), Martin Busenhart (Partner, Tax) and Luciano Schmid (Associate, Tax).


Cellestia Biotech AG: CHF 20 million Series A financing round

Walder Wyss advises FC Capital Fund I, L.P., Shanghai, as investor in connection with Cellestia's recent financing round. Cellestia was founded in 2014 as a spin-off from EPFL (Ecole Polytechnique Fédérale de Lausanne). Its pipeline including lead candidate, oral small molecule CB-103 is based on proprietary know-how and more than two decades of research at Swiss Institute for Experimental Cancer Research (ISREC) at EPFL.

TOLREMO Therapeutics AG CHF 9 million Series A Financing Round

Walder Wyss advises BiomedPartners AG as Lead Investor in connection with TOLREMO’s Series A Financing Round. TOLREMO was founded as an ETH spin-off on ground-breaking scientific discoveries in the field of drug resistance in cancer. The Financing Round was subscribed by BioMedPartners, Redalpine and Altos Venture as well as existing shareholders.

The Walder Wyss team comprises Alexander Gutmans (Partner, Corporate, Venture Capital) as well as Jessica Aeschbach Flórez (Associate, Corporate).


Nouscom AG EUR 42 Mio. Series B Financing Round

Walder Wyss advises Abingworth and 5AM Venture on Nouscom’s Series B financing round. Nouscom is active in the development of tumor specific oncolytic viruses and patient specific cancer vaccines. The financing round was subscribed by Abingworth and 5AM Venture as well as by existing shareholders.
