Alexander Gutmans is a partner at Walder Wyss since 2014. He advises national and international clients in the fields of commercial and corporate law, mergers & acquisitions, private equity, venture capital and financings as well as in the field of health care and life sciences in contractual and regulatory matters. As a notary of the canton Basel-Stadt he accompanies his clients in commercial register and real estate register transactions as well as German notarisations. Alexander Gutmans is also active as board member.

Born in 1967, Alexander Gutmans studied at the university of Basel (lic. iur. 1990; Dr. iur. 1995) and Lausanne an received a master’s degree from Yale Law School (LL.M. 1996). In 1993 Alexander Gutmans was admitted as attorney at law and in 2002 as notary. He started his professional career as legal counsel at Sandoz AG and after an assignment as foreign associate with an American law firm in New York he worked during 15 years as a lawyer for a leading Swiss law firm with offices in Basel, Bern and Zurich, during the last 11 years as a partner.

Alexander Gutmans‘ professional work languages are German and English. He also speaks French.

Nouscom AG EUR 42 Mio. Series B Financing Round

Walder Wyss advises Abingworth and 5AM Venture on Nouscom’s Series B financing round. Nouscom is active in the development of tumor specific oncolytic viruses and patient specific cancer vaccines. The financing round was subscribed by Abingworth and 5AM Venture as well as by existing shareholders.

The Walder Wyss teams consists of Alexander Gutmans (Partner, Corporate, Venture Capital) and Jessica Aeschbach Flórez (Associate, Corporate).


BC Platforms CHF 10 Mio. B Round

Walder Wyss advises BC Platforms AG, Basel, on its Series B financing Round. The financing round amounts to CHF 10 mio. was subscribed by Debiopharm Innovation Fund and Finnish Industry Investment as lead investors as well as by existing shareholders.

BioVersys CHF 5.5 Mio. Series A Round

Walder Wyss advises BioVersys AG, Basel, on its Extended Series A financing Round. The financing round amounts to CHF 5.5 mio. was subscribed by existing shareholders.

Acino divests its patch business to Luye Pharma Group Ltd.

Luye Pharma Group Ltd. has entered into an agreement to acquire the TDS business from Acino, through the purchase of the entire issued share capital of Acino AG and Acino Supply AG for EUR 245,000,000. The target group is a Europe based global leader in advanced transdermal drug delivery systems (TDS) and is one of the largest independent TDS manufacturers in Europe. Closing is expected to occur in the second half of 2016.

Walder Wyss comprehensively advised Luye Pharma regarding the Swiss law aspects of this transaction. The team was led by Alexander Gutmans (Partner, Corporate/M&A) and Robert von Rosen (Managing Associate, Corporate) and also included Dirk Spacek (Associate, IP/IT) and Jessica Aeschbach Flórez (Associate, Corporate).


Bayer sells Diabetes Care business

The Bayer group has sold its Diabetes Care business to Panasonic Healthcare Holdings Co., Ltd. The total consideration for this transaction, which includes blood glucose monitoring systems and lancing devices for people with diabetes, is around one billion Euros (JPY 132 billion). The Diabetes Care business will now operate as a stand-alone company named Ascensia Diabetes Care Holdings based in Basel, Switzerland.

Walder Wyss comprehensively advised the Bayer (Schweiz) AG and the Bayer Consumer AG regarding the Swiss law aspects of this transaction.
