Maurus Winzap heads the Tax Team. Maurus' practice covers all areas of domestic and international corporate taxation. He acts for a broad range of corporate and financial clients, and has developed significant expertise in planning and advising on M&A and private equity transactions, structured financings, corporate restructurings, relocations, capital market transactions, collective investment schemes and management incentive programs.

Maurus is a Member of the Executive Committee of the International Fiscal Association (IFA) and a Member of the Executive Board of the Swiss Tax Law Association (Swiss branch of IFA). He regularly lectures and publishes in his areas of practice.

Born in 1972, Maurus received his degree in law from the University of Zurich in 1997 and his Master of Laws from the University of Virginia in 2002. He was admitted to the Zurich Bar in 1999 and became a Swiss Certified Tax Expert in 2004.

Maurus speaks German and English.

Baloise Group places an inaugural CHF 500 million hybrid bond

The Baloise Group has successfully placed a CHF 300 million perpetual subordinated bond, first callable in June 2023 (coupon until first call date: 1.75%) and a CHF 200 million dated subordinated bond with final maturity in 2048, first callable in June 2028 (coupon until first call date: 2.20%). Both tranches are issued by Baloise Life Ltd and are guaranteed by Bâloise Holding Ltd.

Walder Wyss acted as legal counsel to the Baloise Group on this transaction. The team was led by Markus Pfenninger (Partner, Banking and Finance) and included Theodor Härtsch (Partner, Banking and Finance), Maurus Winzap (Partner, Tax), Ramona Wyss (Managing Associate, Banking and Finance) and Valentin Wiesner (Associate, Banking and Finance).


Cembra Money Bank refinances personal loan portfolio of eny Finance

On 21 July 2017, Cembra Money Bank AG (Cembra) signed an agreement to refinance a CHF 42 million personal loan portfolio from eny Finance AG. eny Finance AG is a Swiss pure online personal loan provider. Cembra has also agreed to partially refinance future personal loan volume from this provider. The deal is structured through a special purpose vehicle (SPV) that is fully owned and consolidated by Cembra. The transaction was closed on 2 August 2017. By this transaction, eny Finance gets access to an additional refinancing source for its growing consumer credit portfolio. At the same time, eny Finance remains fully independent and acts as self-standing provider of consumer loans.

Walder Wyss acted as legal advisor to Cembra with regard to all legal aspects of the transaction. Castleton closes credit facilities totaling USD 3.6 Billion

Castleton Commodities International LLC (CCI), a global commodities merchant, closed two credit facilities totaling USD 3.6 billion. The facilities include a committed senior secured working capital facility and a committed unsecured revolving credit facility. The senior secured facility is comprised of a USD 1.25 billion 3-year tranche and a USD 2.0 billion 364-day tranche. The unsecured facility is comprised of a single USD 350 million 364-day tranche. The proceeds will refinance CCI’s existing USD 3.0 billion senior secured facility and USD 300 million unsecured facility signed in June 2016, fund general corporate purposes and provide letters of credit for the company’s merchanting activities in multiple countries. The senior secured facility features a USD 1.0 billion accordion which remains available to support future growth.

Walder Wyss advised CCI on all Swiss law related aspects of the financing. Baloise acquires Movu

Baloise acquires Movu, Switzerland’s biggest digital platform for home-moving services. The transaction is subject to the approval of the regulator and will be completed in the next weeks.

Walder Wyss has acted as advisor to the selling founders and financial investors in all legal aspects of the transaction. The team was led by Florian Gunz Niedermann (Partner, Corporate/M&A) and further included Fabienne Anner, Samuel Lieberherr and Christian Lütolf (Associates/M&A),  Michael Isler (Partner, IP/IT) and Maurus Winzap (Partner, Tax).


Multilease: First Swiss Auto Lease ABS 2017-1

On 13 April 2017, Multilease AG closed its inaugural Swiss auto lease securitization transaction involving the issuance by First Swiss Mobility 2017-1 AG (the Issuer) of CHF 260,700,000 0.14 percent asset-backed Class A Notes, due in 2027, CHF 22,200,000 1.75 percent asset-backed Class B Notes, due in 2027 and CHF 14,100,000 2.75 percent asset-backed Class C Notes, due in 2027. The Notes issued are listed on the SIX Swiss Exchange and are backed by a portfolio of Swiss auto lease assets originated by Multilease AG and transferred to the Issuer. The Notes are rated «Aaa sf»/«AAA(sf)»;«A1 sf»/«AA-(sf)»;«Baa2sf)»/«BBB+(sf)» by Moody’s and S&P. Credit Suisse acted as Arranger and Manager and Zürcher Kantonalbank as Manager on this transaction.

Walder Wyss advised Multilease AG on the overall structuring and all Swiss legal, tax and VAT aspects of the transaction (transaction counsel).
