Luc Defferrard, partner with Walder Wyss since 2001, has been active in the finance and legal industry for many years. He mainly advises clients in domestic and cross-border financing and merger & acquisition transactions, as well as in real estate and capital market. Luc Defferrard particularly focuses on private equity (leveraged buy-out) advising a variety of private equity funds, managers and target companies in the structuring and implementation of their projects. Most recently, Luc Defferrard advised Schaeffler on its issue of high yield bonds with a total volume of approximately EUR 2 billion, the French cosmetics group L'Oréal S.A., Paris on its acquisition of Decléor and Carita from Japanese manufacturer Shiseido Co., Ltd., and HgCapital Group with respect to the acquisition of P&I Personal & Informatik AG (P&I AG) from The Carlyle Group.

Born in 1965, Luc Defferrard was educated at the Geneva University (lic. iur. 1987) and was registered as attorney-at-law with the Geneva Bar Registry in 1990. Prior to joining Walder Wyss, Luc Defferrard was working for seven years with UBS in Geneva, Zurich and New York as client manager and project manager in corporate and structured finance. In this position he developed the bank's structured finance offerings to clients in the French part of Switzerland.

Luc Defferrard speaks French, German and English and is Head of the Groupe Francophone of Walder Wyss. He is registered with the Zurich Bar Registry and admitted to practice in all Switzerland.

Castleton closes refinancing facility

On 16 June 2016, Castleton Commodities International LLC (CCI), a global commodities merchant, closed the fifth amended and restated credit agreement between, among others, certain entities of CCI, as Borrowers and Guarantors, and BNP Paribas, as administrative agent and collateral agent.

Walder Wyss advised CCI on all Swiss law related aspects of the refinancing. The Walder Wyss team was led by Luc Defferrard (Partner, Banking & Finance) and Alexandre Both (Managing Associate, Banking & Finance) and included Maurus Winzap (Partner, Tax).


Chequers Capital to acquire Spandex from Gilde Buy Out Partners

Chequers Capital has agreed to acquire the Spandex-group from Gilde Buy Out Partners AG and other shareholders. The Spandex-group is headquartered in Switzerland and is a leading distributor of graphic media and equipment to the signage and visual communication industry.

Chequers Capital is being advised by Walder Wyss with respect to Swiss law. Sale of Steigenberger Hotel Gstaad

On 8 December 2015 HUUS Gstaad AG acquired the Steigenbeger Mountain Hotel and Spa in Gstaad-Saanen from listed Acron Helvetia Immobilien AG for a purchase price of total CHF 26.26 Mio. HUUS Gstaad AG has only recently been established and is managed by the Private Equity firm Manixer. The transaction, which was announced already back in mid November 2015, was approved by the extraordinary shareholders’ meeting of Acron on 3 December 2015. The 4-star-hotel will be fully renovated and re-opened in December 2016 under the name "HUUS" and with new management.

Walder Wyss was advised the buyer, and Manixer respectively, in all legal aspects of the transaction. Castleton aquires Morgan Stanley's Global Oil Merchanting business

On 1 November 2015, Castleton Commodities International LLC, a global commodities merchant, completed its acquisition of Morgan Stanley’s Global Oil Merchanting business, one of the world’s leading physical oil and products franchises. Morgan Stanley’s Global Oil Merchanting business is a leading global platform and is active in the light ends, distillates, crude and wet freight markets.

Walder Wyss advised Castleton Commodities International LLC in connection with the USD 3.5 billion committed senior secured working capital credit facility related to the financing of the acquisition. The Walder Wyss team was led by Luc Defferrard (Partner, Banking & Finance) and Alexandre Both (Managing Associate, Banking & Finance) and included Maurus Winzap (Partner, Tax) and Tervel Stoyanov (Associate, Banking & Finance).


Crédit Mutuel Arkéa to acquire Keytrade Bank

On 7 December 2015, Belgian bank Crelan and French bank Crédit Mutuel Arkéa entered into an exclusivity agreement in view of the acquisition by the latter of all of Belgian online banking leader Keytrade Bank’s activities, including in Switzerland. The transaction is to be implemented in the course of the first quarter of 2016 and will enable Crédit Mutual Arkéa to continue its expansion in all fields of digital banking.

Walder Wyss acts as Swiss legal advisor to Crédit Mutuel Arkéa.
